<br /> <br />CONFIDENTIAL Cayenta Software and Subscription Agreement 2024-01-11 <br />Page 4 of 41 <br /> <br />(aa) “Support Fees” means those fees applicable to the Support Services in respect of the <br />Perpetual-Use Software, as set out in a CS Order. <br /> <br />(bb) “Support Services” means customer support services that are described in Schedule A in <br />respect of the Software. “Support Services” excludes the support of: (i) Professional Services; and/or <br />(ii) Out-of-Scope Services (as defined in Schedule A). <br /> <br />(cc) “Support Term” has the meaning given to it by Section 4.3. <br /> <br />(dd) “Term License” means the license rights granted to Organization pursuant to Section 2.1(a). <br /> <br />(ee) “Third-Party EULA” means the agreement entered into by Organization and a service provider <br />of Third-Party Products that governs the access and use of such Third-Party Products and to which <br />agreement Harris is not a party. <br /> <br />(ff) “Third-Party Products” means applications, software, infrastructure, services, documents, <br />data, content, specifications, products, equipment, hardware, or components that are incorporated into, <br />accessible through or that interoperate with the Software and that are not proprietary to Harris. <br /> <br />(gg) “Third-Party Terms” means the terms and conditions that govern the use of the Third-Party <br />Products, and as such terms and conditions may be revised from time to time. There are two types of <br />Third-Party Terms: (i) the Pass-Through Terms; and (ii) the Third-Party EULA. <br /> <br />(hh) “Update” means any published changes, additions or corrections to the Software that primarily <br />include a minor modification or enhancement to the Software related to a bug fix, minor additional <br />functionality or legislative changes. An Update is designated by a change in the right-most digit in the <br />version number (for example, a change from W.X.Y.1 to W.X.Y.2). <br /> <br />(ii) “Upgrade” means a major overhaul of the Software which is a complete new published version <br />of the Software that modifies, revises or alters the Software and adds features, functionality or <br />enhancements to such Software. An Upgrade is designated by a change in the first two numbers of the <br />version number (for example, a change from 1.X.Y.Z to 2.X.Y.Z or from W.1.Y.Z to W.2.Y.Z). <br /> <br />(jj) “Usage Limits” means the usage applicable to the Software as set out in the most current CS <br />Order, including without limitation, data storage limits, data export limits, number of Authorized Users, <br />and any other usage restrictions described in the Documentation or set out in the applicable CS Order. <br /> <br />1.2 Schedules. <br />The following schedules (“Schedules”) are appended to and form an integral part of this Agreement: <br />Schedule A – Support Services <br />Schedule B – Third-Party Terms <br /> <br /> Appendix B-1 – Pass-Through Terms - Rocket Uniface <br /> Appendix B-2 – Pass-Through Terms- IBM Cognos <br /> Appendix B-3 – Pass-Through Terms - AG Grid <br /> Appendix B-4 – Pass-Through Terms – PlanetPress [reserved] <br /> Appendix B-5 – Pass-Through Terms – MicroFocus <br /> Appendix B-6 – Third-Party EULA - SwiftComply Backflow Management [reserved] <br />
