NOTE: No contract shall form until and unless a copy of the Certificate of Insurance <br />with Endorsements/Exclusions, properly completed and in the amount required, is <br />attached hereto. <br />Failure of the Contractor to fully comply with the above insurance requirements during the <br />term of the Agreement shall be considered a material breach of contract and cause for <br />immediate termination of the Agreement at the County's discretion. Alternatively, the County <br />may procure and maintain, at the Contractor's sole expense, insurance to the extent deemed <br />proper up to the amount of the required coverage(s). The County may offset the cost of <br />such insurance against payment due to the Contractor under this Agreement. <br />
