4. TERMS OF OFFICE <br />Board members will serve for a term of two years with the exception that half of the original <br />members will serve for a three-year term for continuity, but all members will serve for two years <br />thereafter. Terms shall be January-December. <br />5. QUORUM/VOTING <br />A quorum shall consist of four voting members. At any meeting where there is less than a <br />quorum, the Chairperson for the purposes of such meeting shall have the authority to adjourn <br />the meeting and establish a date for the next meeting out of the regular cadence if necessary. <br />6. MEETINGS <br />The Board shall hold regular meetings at the behest of the Chairperson and post for public <br />notice. All meetings of the Board shall conform to the Open Public Meetings Act, RCW 42.30. <br />The Board may adopt such procedures as are necessary to ensure appropriate notice of all <br />meetings. <br />7, CONFLICT OF INTERESTS <br />The Board members shall comply with the Code of Ethics for Municipal Officers, Chapter 42.23 <br />RCW, in the performance of their duties. Specifically, at any time a proposal is received by the <br />Board that appears to benefit any member of the Board, that person shall recuse themselves <br />from any discussion or decision related to that proposal. <br />8, PUBLIC PARTICIPATION <br />The Board shall seek the involvement of the general public and community organizations in its <br />planning and decision-making processes. Public comment period is included in every agenda and <br />the public is encouraged to participate by commenting on agenda items and non-agenda items <br />as directed by the Chairperson. <br />9. SUB-COMMITTEES <br />Sub-Committees may be established by the Board to assist in the performance of its function. <br />Sub-Committees may be composed of members of the Board and citizens with particular <br />knowledge or talent to contribute to the work of the Board. <br />10. PURPOSE & DUTIEs <br />The Board shall collaborate with the Kittitas County Board of Health (BOH), Kittitas County <br />Public Health Department (KCPHD), and the KCPHD Mental Health Programs Coordinator to <br />BOARD BYLAWS 2
