<br />The Contractor shall, based on the results from the criminal background check, determinewhether each employee, volunteer, and subcontractor is suitablelor access toclients/juveniles.
<br />Contractor shall affirmatively acknowledge that it has met these requirements andsubmit that acknowledgement to AoC. Contractor shall also document the backgroundcheck/criminal history clearance process it employs.
<br />b. Sexual Misconduct
<br />Contractor shall ensure that all employees, subcontractors and/or volunteers areknowledgeable about the requirements of RCW 13.40.s70 and of the crimes set forlh inChapter 9A.44 RCW, ',Sexual Offenses.',
<br />RECORDS MAINTENANCE
<br />The parties to this Agreement shall each maintain books, records, documents and other evidencewhich sufficiently and properly reflect all direct and indirect costs expended by either pa1y in theperformance of the service(s) described herein. These records shali oe subject to inspection,review or audit by p-ersonnel of both parlies, other personnel duly authorized by either parly, theoffice of the State Auditor, and federal oflicials so authorized by law. All books, records,documents, and other material relevant_to this Agreement will be retained for six years afterexpiration of this Agreement and the oflice of thJ state Auditor, federal auditors, and any personsduly authorized by the parlies shall have full access and the right to examine any of thesematerials during this period.
<br />Records and other documents, in any medium, furnished by one party to this Agreement to theother party, will remain the property of ttre furnishing p"rty, unless othenvise agreed. Thereceiving party will not disclose or make available tf,is material to any thirJparties without firstgiving notice to the furnishing parly and giving it a reasonable oppoiunitylJi"rpond. Each partywill utilize reasonable security proiedures and protections to assure that records and documentsprovided by the other party are not erroneously disclosed to third parties.
<br />RIGHTS IN DATA
<br />Unless othen'vise provided, data which originates from this Agreement shall be ,,works for hire,,asdefined by the U'S' copyright Act of '1976 Lnd shall ue owneo by Aoc. Data shal include, but notbe limited to, reports, documents, pamphrets, advertisements, books, magazines, surveys,studies, computer programs, films, tapes, video and/or sound reproductio-ns, ownership includesthe right to copyright, patent, register,'and the abirity to iransrer these rights.
<br />INDEPENDENT CAPACITY

<br />AGREEMENT ALTERATIONS AND AMENDMENTS
