UNLESS SUCH IS DIRECTLY DUE TO THE NEGLIGENCE OF ACT OR ACT'S AGENTS OR EMPLOYEES
<br />future officers, principals, representatives, affiliates, licensees, agents, employees, musicians, crew,
<br />attorneys, accountants, successors and substitutes, from and against any and all claims, demands,
<br />debts, liens, damages, liabilities, costs, expenses (including attorneys', paralegals' and accountants'
<br />fees and costs and court costs, whether or not litigation is commenced) and judgments arising out of
<br />or in connection with any breach or alleged breach by PURCHASER of any implied or actual
<br />representation, warranty or agreement made by PURCHASER herein, any claim by a third party with
<br />respect to PURCHASER's obligations pursuant to any agreement(s) directly or indirectly relating to the
<br />concert event(s) (including, without limitation, the concert performances(s) hereunder) and/or the
<br />advertising and promotion thereof, or any bodily injury, death, or loss of or damage to property in any
<br />way related to the concert event(s) (including, without limitation, the concert performance(s) hereunder)
<br />or any authorized or unauthorized act(s) or omission(s) of PURCHASER or PURCHASER's employees,
<br />agents or independent contractors retained by PURCHASER, including the facility and site of concert
<br />event(s). Without limiting the generality of the foregoing, PURCHASER is responsible for the security
<br />and safety of each concert, the facility and site and its immediate vicinity, including the security and
<br />safety of ARTIST, ARTIST's musicians and crew, ARTIST's entourage, audience members, the facility
<br />and site personnel and any Invitees orattendees. UNLESS SUCH IS DIRECTLY DUE TO THE NEGLIGENCE OF ACT OR ACT'S AGENTS OR EMPLOYEES
<br />It is specifically understood that ARTIST's performance after any failure of PURCHASER orthe facility
<br />to provide either policies or certificates required herein, shall not be deemed a waiver of PRODUCER's
<br />rights or of any of PURCHASER's obligations hereunder. PURCHASER shall still be solely responsible
<br />for providing or causing to be provided all of such insurance and PURCHASER shall be fully liable for
<br />its failure to provide or cause to be provided the same.
<br />11. LICENSES/ PERMITS
<br />Purchaser shall secure, at its sole cost, all licenses, permits, certificates, leases, authorizations and
<br />the like required or requested by any union, guild, governmental authority, performing rights
<br />society, Venue owner or any other third party in connection with (i) the Engagement and (ii)
<br />Artist's Producer's exercise of any rights granted herein. Purchaser agrees to fulfill, or cause to be
<br />fulfilled, all terms, conditions, covenants, rules and/or regulations of such parties in connection
<br />therewith as well as pay all levies, dues and fees applicable thereto. Upon request, Purchaser shall
<br />provide Artist with evidence of the foregoing. Producer's failure to request or review same shall
<br />not be deemed a waiver of Purchaser's obligations or Producer's rights hereunder.
<br />12. PAYMENT/ SETTLEMENT
<br />IMMEDIATELY FOLLOWING
<br />Payment to PRODUCER for Engagement shall be made in full to PRODUCER's representative }mer
<br />t -o --Engagement, said payment should be made only by or certified check.
<br />Payable to: Colt Ford Touring, LLC EVENT CHECK
<br />Please advance settlement with ARTIST road manager.
