mental,orphysicalhandicap.Thisrequirementdoesnotapply,however,toareligiouscorporation,association,educationalinstitutionorsocietywithrespecttotheemploymentofindividualsofaparticularreligiontoperformworkconnectedwiththecarryingonbysuchcorporation,association,educationalinstitutionorsocietyofitsactivities.b.TheSubrecipientshalltakeactiontoensurethatemployeesareemployedandtreatedduringemploymentwithoutdiscriminationbecauseoftheirrace,color,sex,sexualorientationreligion,nationalorigin,creed,maritalstatus,age,Vietnameraordisabledveteranstatus,orthepresenceofanysensory,mental,orphysicalhandicap.Suchactionshallinclude,butnotbelimitedto,thefoilowing:Employment,upgrading,demotion,ortransfer,recruitmentorrecruitmentselectionfortraining,includingapprenticeshipsandvolunteers.A.18NOTICESTheSubrecipientshallcomplywithallpublicnoticesornoticestoindividualsrequiredbyapplicablelocal,stateandfederallawsandregulationsandshallmaintainarecordofthiscompliance.A.19OCCUPATIONALSAFETYlHEALTHACTandWASHINGTONINDUSTRIALSAFETY/HEALTHACT(OSHA/WISHA)TheSubrecipientrepresentsandwarrantsthatitsworkplacedoesnoworwillmeetallapplicablefederalandstatesafetyandhealthregulationsthatareineffectduringtheSubrecipient'sperformanceunderthisAgreement.Totheextentallowedbylaw,theSubrecipientfurtheragreestoindemnifyandholdharmlesstheDepartmentanditsemployeesandagentsfromallliability,damagesandcostsofanynature,including,butnotlimitedto,costsofsuitsandattorneys'feesassessedagainsttheDepadment,asaresultofthefailureoftheSubrecipienttosocomply.A.20OWNERSHIPOFPROJECT/CAPITALFACILITIESTheDepartmentmakesnoclaimtoanycapitalfacilitiesorrealpropertyimprovedorconstructedwithfundsunderthisAgreement,andbythissubawardoffundsdoesnotandwillnotacquireanyownershipinterestortitletosuchpropedyoftheSubrecipient.TheSubrecipientshallassumeallliabilitiesandresponsibilitiesarisingfromtheownershipandoperationoftheprojectandagreestoindemnifyandholdtheDepartment,thestateofWashington,andtheUnitedStatesgovernmentharmlessfromanyandallcausesofactionarisingfromtheownershipandoperationoftheproject.A.21POLITICALACTIVITYNopodionofthefundsprovidedhereinshallbeusedforanypadisanpoliticalactivityortofudhertheelectionordefeatofanycandidateforpublicofficeorinfluencetheapprovalordefeatofanyballotissue.A.22PROHIBITIONAGAINSTPAYMENTOFBONUSORCOMMISSIONTheassistanceprovidedunderthisAgreementshallnotbeusedinpaymentofanybonusorcommissionforthepurposeofobtainingapprovaloftheapplicationforsuchassistanceoranyotherapprovalorconcurrenceunderthisAgreementprovided,however,thatreasonablefeesorbonafidetechnicalconsultant,managerial,orothersuchservices,otherthanactualsolicitation,arenotherebyprohibitedifothePNiseeligibleasprojectcosts.A.23PUBLICITYTheSubrecipientagreestosubmittotheDepartmentpriortoissuancealladvertisingandpublicitymattersrelatingtothisAgreementwhereintheDepartment'snameismentioned,orlanguageusedfromwhichtheconnectionoftheDepartment'snamemay,intheDepadment'sjudgment,beinferredorimplied.TheSubrecipientagreesnottopublishorusesuchadvedisingandpublicitymatterswithoutthepriorwrittenconsentoftheDepartment.TheSubrecipientmaycopyrightoriginalworkitdevelopsinthecourseoforunderthisAgreement;however,pursuantto2CFRPad200,315,FEMAresentesaroyalty-free,nonexclusive,andirrevocablelicensetoreproduce,publishorotherwiseuse,andtoauthorizeotherstousetheworkforgovernmentpurposes.PublicationresultingfromworkperformedunderthisAgreementshallincludeanacknowledgementofFEMA'sfinancialsuppod,bytheAssistanceListingsNumber(formerlyCFDANumber),andastatementthatthepublicationdoesnotconstituteanendorsementbyFEMAorreflectFEMA'sviews.A.24RECAPTUREPROVISIONIntheeventtheSubrecipientfailstoexpendfundsunderthisAgreementinaccordancewithapplicablefederal,state,andlocallaws,regulations,and/ortheprovisionsoftheAgreement,theDepadmentreservestherighttorecapturefundsinanamountequivalenttotheextentofnoncompliance.SuchrightDHS-FEMA-HSGP-SHSP-FY22Page17of44KittitasCounty.E23-116
