SPECIAL TERMS AND CONDITIONS <br />INTERAGENCYGRANT AGREEMENT <br />FEDERAL FUNDS <br />Program Income shall be used to continue the same activities to benefit low-and moderate-incomepersonsor,with COMMERCE approval,for other activities to benefit low-and moderate-incomepersons.Interest eamed in excess of $100 on CDBG funds received to reimburse incurred costs mustberemittedtoCOMMERCEforreturntotheU.S.Treasury. <br />K PROHIBITION ON CERTAIN FUNDS TRANSFERS <br />The Grantee that directly or indirectly receives CDBG-CV funds may not sell,trade,or otherwisetransferalloranysuchpotionofsuchfundstoanothersuchentityinexchangeforanyotherfunds,credits or non-Federal consideration,but must use such funds for activities eligible under title I of theHCDActorpermittedbywaiverandalternativerequirementsthatapplytotheuseofCDBG-CV funds. <br />15.SUBCONTRACTOR DATA COLLECTION <br />Grantee will submit reports,in a form and format to be provided by Commerce and at intervals asagreedbytheparties,regarding work under this Grant performed by subcontractors and the portion offundsexpendedforworkperformedbysubcontractors,including but not necessarily limited to minority-owned,woman-owned,and veteran-owned business subcontractors.'Subcontractors"shall meansubcontractorsofanytier. <br />16.SUBCONTRACTS FOR ENGINEERING SERVICES <br />Engineering firms must certify that they are authorized to do business in the state of Washington andareinfullcompliancewiththerequirementsoftheBoardofProfessionalRegistration.The GranteeShallrequirethatengineeringservicesprovidersbecoveredbyerrorsandomissionsinsurance.Theengineeringfirmshallmaintainminimumlimitsofnolessthan$1,000,000 per occurrence to cover allactivitiesbytheengineeringfirmandlicensedstaffemployedorundercontracttotheengineeringfirm.The state of Washington,its agents,officers,and employees need not be named as additional insuredsunderthispalley, <br />17.ORDER OF PREGEDENCE <br />In the event of an inconsistency in this Grant,the inconsistency shall be resolved by givingprecedenceinthefollowingorder: <br />•Applicable federal and state of Washington statutes and regulations <br />•Special Terms and Conditions <br />•General Terms and Conditions <br />•Attachment A -Scope of Work and Budget <br />•Attachment B -Letter to incur Cost,if applicabfe <br />•Grantee's application for funding and the Community Development Block Grant policies andprocedures,prepared by Commerce as incorporated by reference on the Face Sheet <br />State of Washington Interagency Grant AgreementDepartmentofCommerce Page 6 <br />Contract Page 025
