PROFESSIONAL SERVICES AGREEMENT <br />Thls Agreement is made by and between Kiftitas County (hereinafter "the County'') <br />and Allpaid, lnc. (hereinafter "Contracto/'). The County and Contractor agree as follows: <br />General Conditions; Exhibit A (Scope of Work); Exhibit B (Compensation); <br />Exhibit C (Proof of lnsurance). <br />copies of which are attached hereto and incorporated herein by this reference as fully as if <br />set forth herein. <br />The term of this Agreement shallcommence on the date of the last signature below <br />and continue until December 31 2022 The parties may renew this Agreement <br />annually upon mutual agreement in writing.Any party may terminate this Agreement by <br />giving thifi (30) days' notice in writing either personally delivered or mailed postage-prepaid <br />by certified mail, retum receipt requested, to the party's last known address forthe purposes <br />of giving notice under this paragraph. <br />Contractor acknowledges and by signing this Agreement agrees that the <br />lndemnification provisions set forth in Paragraphs 7 (lndependent Contractor), 9 (faxes), <br />15 (Defense and lndemnity Agreement), 21 (PatenVCopyright lnfringement) <br />'and <br />2a <br />(Confidentiality), are totally and fully part of this Agreement and havL been mutually <br />negotiated by the parties. <br />Professional Services Agreement (rev. 09124t2018) <br />Page 1 of 17
