Subrecipient agrees to: a' Make payment promptly as due to all contractors, subcontractors, vendors, or any other persons supplying labor or materials for the project. b. All employers, including Subrecipient that employ subject workers shall provide workers, compensation in_surance coverage for those workers, unless they meet the requirement for exemption. Subrecipient shall require and ensure that each of its subcontractors complies with these requirements (unless inapplicable as a matter of federal law); and c. Not permit any lien or claim to be filed or prosecuted against WSpRC, due to any construction or maintenance activities at the project. Alternative Dispute Resolution. The Parties should attempt in good faith to resolve any dispute arising out of this agreement. This may be done at any manag-ement level, including it a I'evet higher than persons directly responsible for administration of ihe agreement. tn aOOition, the Parties may agree to utilize a jointly selected mediator or arbitrator (for non-binding arbitration) to resolve the dispute short of litigation. lndemnification by Subrecipient's Contractors. For purposes of this Section 7.1.11 -lndemnification by Subrecipient's Contracfors the term "coniractor'' means, actors downstream ofthe Subrecipient whether it be a contractor, a subcontractor, or downstream subrecipient of theSubrecipient. The Subrecipient shall take all reasonable steps to cause its contractor(s) to indemniflT, defend, save and hold harmless the State of Washington and its officers, employees and agents ("lndemnitee") from and against any and all claims, actions, liabilities, damages, lojses, or expenses (including attorneys' fees) arising from a tort caused, or alleged to be caused, in whole or in part, by the negligent or willful acts or omissions of Subrecipientb contractor or any of the officers, agents, employees or subcontractors of the contractor ("Claims"). lt is the specific intention of the Parties that the lndemnitee shall, in all instances, to the full exteni of Washington State Law be indemnified by the contractor from and against any and all claims.
