Reimbursernent for Costs lncurred Due to Breach: Business Associate shall reirnburse <br />Covered Entity, without lirnitation, for all costs of investigation, dispute resolntion, <br />notification of individuals, the rnedia, and the government, and expenses incurred in <br />responding to any audits or other investigation relating to or arising out of a breach of <br />unsecured PFII by thc Business Associate, inchrding mitigation. <br />C. Regulatory References: A reference in this Addendum to a Section in the Department of <br />I tealth and [-[unran Seryices Privacy Regulatiorrs, CFR. Title 45, Sections 160 and lfr4 <br />means the Section as in ellbct or as amended, and for rvhich compliance is required. <br />D. Amendment: Changes in the larv are autonatically incorporuted herein without need fbr <br />explicit arlendment. The Parties agree this this Addendum may be an,ended lronr time to <br />time if otherui'ise necessary for Covered Entity to cornply with the requirements of the <br />Department ol'Healtlr and Human Services Privacy Regulations, CFR, Title 45, Sections <br />160 and 164 and other provisions of law. <br />E. Notices: Whenever Covered Entity or Business Associate is required to give notice to the <br />othcr party, notice shall be in u'r'iting, posted in the US Mail, and deenred tlelivered aller <br />thlee {3} business days except as described in II. D., above. <br />F. Survival: The obligations of the Business Associate shall survivc the termination of this <br />Addendurn. <br />G. Interpretation: Any ambiguity iri this Addendum shall be resolved in favor of a meaning <br />th&t permits Covered Entity to comply with the Department of Health and Human <br />Services Privacy Rcgr"rlations, CFR, Title 45, Sections 160 and 164 and other provisions <br />o[ lar,v. Any provision of the Underlying Agreement that is directly contradictory to one <br />or more tenns of this Addendum is superseded by the terrns of this Addendum to the <br />extent necessily for the parties' cornpliance with HIPAA. <br />B.
