sustainedbyanypersonorpersonsandonaccountofdamagetopropertyincludinglossofusethereof,whethersuchinjurytopersonsordamagetopropertyisduetothenegligenceoftheContractor,itssub-Contractors,itselectedofficers,employeesortheiragents,exceptonlysuchinjuryordamageasshallhavebeenoccasionedbythesolenegligenceoftheCounty,itsAdditionalInsureds,appointedorelectedofficials,agents,oremployees.ItisfurtherprovidedthatnoliabilityshallattachtotheCountybyreasonofenteringintothiscontract,exceptasexpresslyprovidedherein.16.IndustrialInsuranceWaiver:WithrespecttotheperformanceofthisAgreementandastoclaimsagainsttheCounty,itsAdditionalInsureds,officers,agentsandemployees,theContractorexpresslywaivesitsimmunityunderTitle51oftheRevisedCodeofWashington,theIndustrialInsuranceAct,forinjuriestoitsemployeesandagreesthattheobligationstoindemnify,defendandholdharmlessprovidedinthisagreementextendtoanyclaimbroughtbyoronbehalfofanyemployeeoftheContractor.ThiswaiverismutuallynegotiatedbythepartiestothisAgreement.17.VenueandChoiceofLaw:IntheeventthatanylitigationshouldariseconcerningtheconstructionorinterpretationofanyofthetermsofthisAgreement,thevenueofsuchactionoflitigationshallbeintheSuperiorCourtoftheStateofWashingtoninandfortheCountyofKittitas.ThisAgreementshallbegovernedbythelawoftheStateofWashington.18.WithholdinqPayment:IntheeventtheContractorhasfailedtoperformanyobligationtobeperformedbytheContractorunderthisAgreementwithinthetimesetforthinthisAgreement,thentheCountymay,uponwrittennotice,withholdallmoniesdueandpayabletoContractor,withoutpenalty,untilsuchfailuretoperformiscuredorotherwiseadjudicated.19.FutureNon-AllocationofFunds:IfsufficientfundsarenotappropriatedorallocatedforpaymentunderthisAgreementforanyfuturefiscalperiod,theCountywillnotbeobligatedtomakepaymentsforservicesoramountsincurredaftertheendofthecurrentfiscalperiod.NopenaltyorexpenseshallaccruetotheCountyintheeventthisprovisionapplies.20.ContractorCommitments,WarrantiesandRepresentations:TheContractorrepresentsandwarrantstotheCountyasfollows:20.1TheContractorisdulyincorporated,validlyexistingandingoodstandingunderthelawsoftheStateofWashington,andhasallrequisitecorporatepowerandauthoritytoenterintoandtoperformitsobligationsunderthisAgreement.20.2TheContractorhastheauthoritytoexecutethisAgreement,tomaketherepresentationsandwarrantiessetforthinitandtoperformtheProfessionalServicesAgreement(rev.09/24/2018)Page7of19
