aswfins FtEt-[]KITTIT,AS SSUIITY AiRPORT ln the event of any litigation between LESSOR and LESSEE arising out of this LEASE, the venue for such action shall lie in Kittitas County, notwithstanding any contrary provision of the Revised Code of Washington. 30. APPLICABILITY. The covenants, agreements, terms and conditions contained in this lease shall apply to and be binding upon LESSOR and LESSEE and their respective heirs, executors, administrators, successor and assigns. 31. INTEGRATION. Exhibits and Recitals are incorporated herein by this reference. This LEASE embodies the entire agreement between the parties with respect to the subject matter herein contained. All prior agreements, understandings, or representations with respect to this Lease's subject matter are hereby canceled in their entirety and are of no further force or effect. No amendments or modifications hereof shall be enforceable unless in writing, signed by the party to be charged. 32. SURVIVAL. All representations, warranties, and indemnities set forth in or othenryise made pursuant to this Agreement shall survive and remain in effect following the expiration or earlier termination of this Lease; provided, however, that nothing herein is intended to extend the survival beyond any applicable statute of limitations period. 33. COUNTERPARTS AND COPIES. This Lease may be executed in any number of identical counterparts, with each counterpart having the same effect as if all parties to this Lease had signed the same document. All executed counterparts of this Lease will be construed as and constitute one and the same instrument. A facsimile or electronic copy (e.9., a PDF copy) of an executed counterpart of this Lease will have the same effect as an original executed counterpart of this Lease. 34. AUTHORITY The execution, delivery, and performance by each party of this Lease has been duly authorized by their respective governing bodies (i.e., the LESSEE's Board of Directors and the Board of County Commissioners for Kittitas County) in accordance with their respective governing documents and applicable law, and no further action is necessary on the part of either party to this Lease or their respective governing bodies to make the execution, delivery, and performance of this Lease by the undersigned persons valid and binding upon the parties to this Lease.
