<br /> <br />BOWERS FIELD KITTITAS COUNTY AIRPORT <br /> <br /> <br /> <br />LESSEE INITIAL__________ LESSOR INIT IAL__________ <br /> <br /> PAGE 18 <br />30. APPLICABILITY. <br /> <br />The covenants, agreements, terms and conditions contained in this lease shall apply <br />to and be binding upon LESSOR and LESSEE and their respective heirs, executors, <br />administrators, successor and assigns. <br /> <br />31. INTEGRATION. <br /> <br />Exhibits and Recitals are incorporated herein by this reference. This LEASE <br />embodies the entire agreement between the parties with respect to the subject <br />matter herein contained. All prior agreements, understandings, or representations <br />with respect to this Lease’s subject matter are hereby canceled in their entirety and <br />are of no further force or effect. No amendments or modifications hereof shall be <br />enforceable unless in writing, signed by the party to be charged. <br /> <br />32. SURVIVAL. <br /> <br />All representations, warranties, and indemnities set forth in or otherwise made <br />pursuant to this Agreement shall survive and remain in effect following the <br />expiration or earlier termination of this Lease; provided, however, that nothing <br />herein is intended to extend the survival beyond any applicable statute of <br />limitations period. <br /> <br />33. COUNTERPARTS AND COPIES. <br /> <br />This Lease may be executed in any number of identical counterparts, with each <br />counterpart having the same effect as if all parties to this Lease had sign ed the <br />same document. All executed counterparts of this Lease will be construed as and <br />constitute one and the same instrument. A facsimile or electronic copy (e.g., a <br />PDF copy) of an executed counterpart of this Lease will have the same effect as <br />an original executed counterpart of this Lease. <br /> <br />34. AUTHORITY <br /> <br />The execution, delivery, and performance by each party of this Lease has been <br />duly authorized by their respective governing bodies (i.e., the LESSEE’s Board of <br />Directors and the Board of County Commissioners for Kittitas County) in <br />accordance with their respective governing documents and applicable law, and no <br />further action is necessary on the part of either party to this Lease or their <br />respective governing bodies to make the execution, delivery, and performance of <br />this Lease by the undersigned persons valid and binding upon the parties to this <br />Lease. <br /> <br /> <br />
