necessary on-site and off-site infrastructure and improvements; to provide for the preservation of <br />permanent open space; to make provision for trail facilities and other on-site recreational <br />amenities: to provide proportionate funding for traffic improvements and other public <br />improvements; to provide for services appropriate to the development ofMountainStar; and to <br />otherwise achieve the goals and purposes for which the Development Agreement Statute was <br />enacted. Furthermore, development ofMountainStar pursuant to this Agreement would result in <br />substantial fiscal benefits to the County. <br />F. Trendwest is entering into this Development Agreement to provide certainty for <br />planning and development of Mountain Star. to provide certainty with respect to environmental <br />and fiscal conditions imposed on the development ofMountainStar. and to guarantee the <br />Comprehensive Plan designation. zoning designation and development standards for the <br />development of MountainS tar so that Trend west can justify a major financial investment in <br />MountainStar and the surrounding area, an investment that must be amortized over several <br />decades of sales and operations at MountainStar. Trendwest could not undertake development of <br />MountainStar without the assurances provided through this Agreement. <br />G. It is understood by the Parties that MountainStar is a private development and that <br />Trendwest shall have full power over and exclusive control ofMountainStar, subject only to the <br />limitations and obligations ofTrcndwest under the County's Comprehensive Plan, the <br />MountainStar Subarea Plan (as defined in Recital 1(8) below). the County's Master Planned <br />Resort Zoning District (as defined in Recitall(81 below), the MountainStar Resort Conceptual <br />Master Plan, as amended (as defined in Recital 1(6) below), the Rezone (as defined in Recital <br />1(8) below). the MPR Project Development Permit and MountainStar MPR Conditions (as <br />defined in Recital I (I 0) below). the Applicable Law (as defined in Section 4.1 (c) below). and this <br />Suncadia Master Planned Resort Development Agreement (Amended and Restated 12·02·2008) Page 4 <br />Index #32
