<br />Professional Services Provisional Agreement <br />Page 1 <br /> <br /> <br /> <br /> <br /> <br /> <br /> <br /> <br /> PROFESSIONAL SERVICES PROVISIONAL AGREEMENT <br /> <br /> <br /> This Provisional Agreement is made by and between Kittitas County (hereinafter “the <br />County”) and Entrust Community Services (hereinafter “Contractor”). The County and <br />Contractor agree as follows: <br /> <br /> General Conditions; Attachment A (Scope of Work); Attachment B <br />(Compensation); Attachment C (Proof of Insurance); Attachment D (Program <br />Provisional Agreement between County and DSHS for Developmental <br />Disabilities County Services, including Exhibits A and B, which incorporates <br />the DSHS and County Provisional Agreement on General Terms and <br />Conditions by reference); Attachment E (Program Activity Level and Payment <br />Rate Schedule) <br /> <br />copies of which are attached hereto and incorporated herein by this reference as fully as if <br />set forth herein. <br /> <br /> The term of this Provisional Agreement shall commence on the July 1, 2021 and <br />continue until June 30, 2022, unless terminated earlier as provided herein. Any party may <br />terminate this Provisional Agreement by giving thirty (30) days’ notice in writing either <br />personally delivered or mailed postage-prepaid by certified mail, return receipt requested, <br />to the party's last known address for the purposes of giving notice under this paragraph. <br /> <br /> Contractor acknowledges and by signing this Provisional Agreement agrees that the <br />Indemnification provisions set forth in Paragraphs 7 (Independent Contractor), 9 (Taxes), <br />15 (Defense and Indemnity Provisional Agreement), 22 (Patent/Copyright Infringement) and <br />25 (Confidentiality), are totally and fully part of this Provisional Agreement and have been <br />mutually negotiated by the parties. <br /> <br /> <br />
