SECTION5.AMENDMENTSNomodificationsoramendmentoftheprovisionshereofshallbeeffectiveunlessinwritingandsignedbyauthorizedrepresentativesofthepartieshereto.ThepartiesheretoexpresslyreservetherighttomodifytheAgreementbymutualagreement.SECTION6.INDEMNIFICATIONTheSubjectPartyreleasesandshalldefend,indemnify,andholdtheCityanditsofficers,employeesandagentsharmlessfromalllosses,liabilities,claims(includingclaimsarisingunderfederal,stateorlocallawsorregulations)(andincluding,butnotlimitedto,claimsforinfringementofanycopyright,patent,trademark,ortradesecret),costs(includingattorneys'fees),actionsordamagesofanysortwhatsoeverarisingoutoftheSubjectParty'sperformanceornonperformanceoftheservicestobeprovidedunderthisAgreementattributabletotheactsoromissions,willfulmisconduct,orbreachofthisAgreementbytheSubjectParty,subconsultants,itsservants,agents,officersoremployees.TheSubjectParty'sobligationsshallnotbeeliminatedorreducedbyanyallegednegligenceonthepartofthecity,infurtheranceoftheseobligations,andonlywithrespecttotheCityanditsofficers,employees,andagents,theSubjectPartywaivesanyimmunityitmayhaveorlimitationontheamountortypeofdamagesimposedunderTitle51RCW,oranyotherindustrialinsurance,worker'scompensation,disability,employeebenefit,orsimilarlaws.TheSubjectPartyacknowledgesthattheforegoingwaiverofimmunitywasmutuallynegotiated,andthatthecontractpricereflectsthisnegotiation.TheindemnificationprovidedforinthissectionshallsurviveanyterminationorexpirationofthisAgreement.NOWTHEREFORE,thepartiesheretohaveexecutedthisAgreementbyhavingtheirauthorizedrepresentativesaffixtheirsignaturesbelow.KITTITASCOUNTYSHERIWSOFFICESEATTLEPOLICEDEPARTMENTBY:ÑggBY:ciMyers,SheriffeEdwards,Captain307WestUmptanumRd.POBox34986Elfensburg,WA98926Seattle,WA98124-4986DATE:7-2#-A(DATE:-Ÿ(-QAttachment:CurrentW-9FederalGrantAwardDocumentsAgreement#21-01008Page2
