Ruby St., Suite I <br />Ellensburg, WA 98926 <br />509-962-7523 <br />NAME: <br />TITLE: <br />ADDRESS: <br />PHONE <br />Mike Engelhart <br />Public Works Director <br />119 West First St. <br />Cle Elum, WA98922 <br />509-674-2262 <br />ARTICLE V <br />COMPENSATION <br />The City agrees to reimburse the County for services provided by the County on a time and <br />materials basis when billed by the County, which amount shall not exceed $25,000 without <br />written authorization from the City of Cle Elum. <br />ARTICLE VI <br />TERM <br />This Agreement shall enter into full force and effect for five (5) years from July 20,202I and <br />end July 20,2026 subject to earlier termination as provided by Article VII herein. <br />ARTICLE VII <br />TERMINATION <br />This agreement may be termination by a writing executed by both Parties and adopted by <br />resolution of each Party's legislative body. Either Party may terminate this Agreement upon <br />thirty (30) days written notice, either personally delivered or mailed postage-prepaid by <br />certified mail, return receipt requested, to the other Party's contact at the address in Article <br />IV and to its legislative body. If this Agreement is so terminated, the Parties shall be liable <br />only for performance rendered or costs incurred in accordance with the terms of this <br />Agreement prior to the effective date of termination. <br />ARTICLE VIII <br />DISPUTES <br />8.1 TIME: Time is of the essence of this Agreement. <br />8.2 DISPUTE RESOLUTION: In the event that a dispute arises regarding any matter <br />addressed in or related to this Agreement, the Parties agree first to attempt to resolve <br />such disputeby a telephone call between the contact persons as provided by Article <br />IV herein of each Puf,ty, or authorized designee(s). If the matter is not resolved by <br />consultation in a telephone call, the Parties agree that before taking any other action <br />or seeking any remedy, the Parties' contact persons as provided by Article IV herein <br />of each pafi, or authorized designee(s), will participate in a good faith in-person <br />negotiation to resolve any such dispute. <br />8.3 GOVERNING LAW AND VENUE: This Agreement shallbe govemed exclusively <br />by the laws of the State of Washington. Venue of any action brought to interpret or <br />Kittitas County and City of Cle Elum <br />Interlocal Agreement for Certified Acceptqnce Seryices
