INDEMNIFICATION <br />Each party to this Agreement shall be responsible for its own acts or omissions and forthoseofitsofficers,employees,and agents.Neither party shall be responsible for the acts <br />or omissions of persons or entities not a party to this Agreement. <br />AGREEMENT CHANGES,MODIFICATIONS AND AMENDMENTS <br />This Agreement may be changed,modified,or amended by written agreement executed <br />by both parties. <br />TERMINATION <br />Either party may terminate this Agreement upon 30 days'prior written notification to theotherparty.If this Agreement is so terminated,the parties shall be liable only forperformancerenderedorcostsincurredinaccordancewiththetermsofthisAgreementpriortotheeffectivedateoftermination. <br />TERMINATION FOR CAUSE <br />If for any cause,either party does not fulfill in a timely and proper manner its obligationsunderthisAgreement,or if either party violates any of these terms and conditions,theaggrievedpartywillgivetheotherpartywrittennoticeofsuchfailureorviolation.Theresponsiblepartywillbegiventheopportunitytocorrecttheviolationorfailurewithin15workingdays.If failure or violation is not corrected,this Agreement may be terminatedimmediatelybywrittennoticeoftheaggrievedpartytotheother. <br />FORCE MAJEURE <br />Either pany may cancel this Agreement without obligation or liability to the other party in theeventthatitbecomesimpossibleorimpracticableforthatpartytoperformitsobligationshereunderbyreasonofforcemajeurebeyondthatparty's reasonable control,including butnotlimitedtofire,flood,earthquake,pandemic,or other acts of God,war,invasion,hostilities,rebellion,insurrection,or prohibitory or injunctive orders of any competent judicialorothergovernmentalauthority,civil or military.In the event of such cancellation,the partiesshallbeliableonlyforperformancerenderedorcostsincurredinaccordancewiththetermsofthisAgreementpriortotheeffectivedateoftermination. <br />DISPUTES <br />in the event that a dispute arises under this Agreement,it shall be determined by a DisputeBoardinthefollowingmanner:Each party to this Agreement shall appoint one member totheDisputeBoard.The members so appointed shall jointly appoint an additional member to <br />the Dispute Board.The Dispute Board shall review the facts,agreement terms andapplicablestatutesandrulesandmakeadeterminationofthedispute.The determinationoftheDisputeBoardshallbefinalandbindingonthepartieshereto.As an alternative tothisprocess,either of the parties may request intentention by the Governor,as provided byRCW43.17.330,in which event the Governor's process will control.
