BOARD OF COUNTY COMMISSIONERS <br />COUNTY OF KITTITAS <br />STATE OF WASHINGTON <br />RESOLUTION NO. 2021 - <br />RATIFYING PURCHASE AND SALE AGREEMENT AND POST CLOSING ACTIONS <br />AND IMPROVEMENTS AGREEMENT AND AUTHORIZING CHAIRMAN <br />SIGNATURE ON CLOSING DOCUMENTS <br />WHEREAS: On May 17, 2021, the Kittitas County Board of Commissioners entered into a <br />Purchase and Sale Agreement with the Trust for Public Land for the purchase of <br />approximately 226.1 lacres of land and two associated senior water rights; and <br />WHEREAS: The Purchase and Sale Agreement states that the County has no obligation to <br />purchase the property until a number of contingencies have been met, including <br />the adoption by the Kittitas County Board of Commissioners of a resolution <br />authorizing the purchase; and <br />WHEREAS: An additional contingency identified in the Purchase and Sale Agreement is that <br />the County has received funding from the Department of Ecology to fund the <br />majority of the subject price; and <br />WHEREAS: On May 17, 2021, the Kittitas County Board of Commissioners entered into a <br />separate agreement with the current owners of the subject property to memorialize <br />post -closing actions and commitments by Kittitas County; and <br />WHEREAS: A public hearing was held, after due notice, on June 1, 2021 at 2:00 pm to discuss <br />the authorization of such purchase, and whether the purchase was in the interest of <br />the County. <br />NOW THEREFORE, BE IT RESOLVED, Kittitas County shall purchase property from the <br />seller, as contemplated in the Purchase and Sale Agreement that is hereby ratified; <br />and <br />BE IT FURTHER RESOLVED, once all contingencies in the Purchase and Sale Agreement <br />have been met, the Chair of the Kittitas Board of County Commissioners is <br />authorized to execute any further documents, on behalf of Kittitas County, <br />necessary to close the transaction; and <br />BE IT FURTHER RESOLVED, after Kittitas County shall implement the post -closing actions <br />and improvements in the Post Closing Actions and Improvements Agreement that <br />is hereby ratified, after Kittitas County closes the transaction. <br />
