(a) Seller has completed its purchase of the Subject Property from its current owner, <br />Flying M Ranch, LLC, a Washington limited liability company ("Flying M Ranch"), and <br />is vested with full fee simple title to the Subject Property; <br />(b) The Kittitas County Board of County Commissioners has adopted a resolution <br />authorizing Buyer to fund the purchase of the Subject Property and to purchase the Subject <br />Property; <br />(c) Buyer shall have received, reviewed (or had reviewed) and approved an <br />independent appraisal of the Subject Property; <br />(d) Buyer shall have received, reviewed and approved a copy of both the Phase I and <br />Phase I1 Environmental Site Assessments of the Subject Property performed by an <br />independent environmental consultant, a copy of which Seller has provided to Buyer; <br />(e) Buyer shall have received, reviewed and approved a copy of the current title <br />commitment of the Subject Property, a copy of which Seller has provided to Buyer; <br />(f) Buyer shall have received funding from Ecology in an amount sufficient to fund <br />the majority of the Purchase Price of the Subject Property (the "Ecology Funding'); and <br />(g) The satisfaction of each of the following conditions precedent has been <br />memorialized in writing and signed by both Flying M Ranch and Buyer, and Flying M <br />Ranch have delivered to Seller written confirmation that all of the following conditions <br />precedent have been satisfied: <br />(i) Lease ftpm Buyer to Flying M R ch. Buyer shall have entered into a lease <br />with Flying M Ranch of the single-family residence and associated outbuildings, <br />including a 22 -foot by 62 -foot utility shed, a 52 -foot by 132 -foot utility building, <br />and a 60 -foot by 220 -foot utility building located at 1030 Stone Road. The lease <br />will commence on the date of closing and be for a period of one (1) year with no <br />option to extend or renew. The lease shall be substantially in the form of Exhibit <br />C attached hereto and hereby incorporated by this reference (the "1030 Stone Road <br />Lease"), <br />(ii) Flood Mitigation Berm for Existing Residential Structure on Parcel A <br />(assessor parcel #702036, a parcel owned by two of the Governors of Flying M <br />Ranch and excluded from this purchase). Buyer shall have provided a written <br />confirmation to Flying M Ranch, signed by both Buyer and Flying M Ranch, <br />indicating that Buyer will mitigate for anticipated additional flood rise potential on <br />parcel #702036 as mutually agreed by both Buyer and Flying M Ranch and <br />approximately located where depicted on Exhibit D to this agreement. <br />Before Buyer and Seller consummate the transaction contemplated by this <br />Agreement, Buyer shall provide written confirmation that Buyer and Flying M <br />Ranch have reached agreement with Buyer's commitment to mitigate for potential <br />
