6.AssiqnmentandSubcontractinq:NoportionofthisAgreementmaybeassignedorsubcontractedtoanyotherindividual,firmorentitywithouttheexpressandpriorwrittenapprovaloftheCounty.7.IndependentContractor:TheContractor'sservicesshallbefurnishedbytheContractorasanindependentContractorandnothinghereincontainedshallbeconstruedtocreatearelationshipofemployer-employeeormaster-servant,butallpaymentsmadehereunderandallservicesperformedshallbemadeandperformedpursuanttothisAgreementbytheContractorasanindependentContractor.TheContractoracknowledgesthattheentirecompensationforthisAgreementisspecifiedinExhibit"B"andtheContractorisnotentitledtoanyCountybenefitsincluding,butnotlimitedto:vacationpay,holidaypay,sickleavepay,medical,dental,orotherinsurancebenefits,oranyotherrightsorprivilegesaffordedtoKittitasCountyemployees.Contractorwilldefend,indemnifyandholdharmlesstheCounty,itsAdditionalInsureds,officers,agentsoremployeesfromanylossorexpense,includingbutnotlimitedtosettlements,judgments,setoffs,attorneys'feesorcostsincurredbyreasonofclaimsordemandsbecauseofbreachoftheprovisionsofthisparagraph.8.NoGuaranteeofEmployment:TheperformanceofallorpadofthisAgreementbytheContractorshallnotoperatetovestanyemploymentrightswhatsoeverandshallnotbedeemedtoguaranteeanyemploymentoftheContractororanyemployeeoftheContractororanysub-Contractororanyemployeeofanysub-ContractorbytheCountyatthepresenttimeorinthefuture.9.Taxes:TheContractorunderstandsandacknowledgesthattheCountywillnotwithholdFederalorStateincometaxes.WhererequiredbyStateorFederallaw,theContractorauthorizestheCountytomakewithholdingforanytaxesotherthanincometaxes(i.e.Medicare).AllcompensationreceivedbytheContractorwillberepodedtotheInternalRevenueServiceattheendofthecalendaryearinaccordancewiththeapplicableIRSregulations.ItistheresponsibilityoftheContractortomakethenecessaryestimatedtaxpaymentsthroughouttheyear,ifany,andtheContractorissolelyliableforanytaxobligationarisingfromtheContractor'sperformanceofthisAgreement.TheContractorherebyagreestoindemnifytheCountyagainstanydemandtopaytaxesarisingfromtheContractor'sfailuretopaytaxesoncompensationearnedpursuanttothisAgreement.TheCountywillpaysalesandusetaxesimposedongoodsorservicesacquiredhereunderasrequiredbylaw.TheContractormustpayallothertaxesincluding,butnotlimitedto:BusinessandOccupationTax,taxesbasedontheContractor'sgrossornetincome,orpersonalpropertytowhichtheCountydoesnotholdtitle.TheCountyisexemptfromFederalExciseTax.ProfessionalServicesAgreement(rev.09/24/2018)Page4of17
