33.4.Thetermscoveredtransaction,debarment,suspension,ineligible,lowertier,participant,person,primarytier,principal,andvoluntarilyexcluded,asusedinthisclause,havethemeaningssetoutintheDefinitionsandCoveredTransactionssectionsof2CFRpart180.33.5.ThelowertierparticipantagreesbysigningthisAgreementthatitshallnotknowinglyenterintoanylowertiercoveredtransactionwithapersonwhoisproposedfordebarmentunder48CFRpart9,subpart9.4,debarred,suspended,declaredineligible,orvoluntarilyexcludedfromparticipationinthiscoveredtransaction,unlessauthorizedbyNHTSA.33.6.ThelowertierparticipantfurtheragreesbysigningthisAgreementthatitwillincludetheclausetitled"InstructionsforLowerTierCertification"includingthe"CertificationRegardingDebarment,Suspension,IneligibilityandVoluntaryExclusion-LowerTierCoveredTransaction,"withoutmodification,inalllowertiercoveredtransactionsandinallsolicitationsforlowertiercoveredtransactions,andwillrequirelowertierparticipantstocomplywith2CFRpart180and23CFRpart1300.33.7.Aparticipantinacoveredtransactionmayrelyuponacertificationofaprospectiveparticipantinalowertiercoveredtransactionthatitisnotproposedfordebarmentunder48CFRpart9,subpart9.4,debarred,suspended,ineligible,orvoluntarilyexcludedfromthecoveredtransaction,unlessitknowsthatthecertificationiserroneous.Aparticipantmaydecidethemethodandfrequencybywhichitdeterminestheeligibilityofitsprincipals.Eachparticipantmay,butisnotrequiredto,checktheListofPartiesExcludedfromFederalProcurementandNon-procurementPrograms.33.8.Nothingcontainedintheforegoingshallbeconstruedtorequireestablishmentofasystemofrecordsinordertorenderingoodfaiththecertificationrequiredbythisclause.Theknowledgeandinformationofaparticipantisnotrequiredtoexceedthatwhichisnormallypossessedbyaprudentpersonintheordinarycourseofbusinessdealings.33.9.Exceptfortransactionsauthorizedunderparagraph35.5.oftheseinstructions,ifaparticipantinacoveredtransactionknowinglyentersintoalowertiercoveredtransactionwithapersonwhoisproposedfordebarmentunder48CFRpart9,subpart9.4,suspended,debarred,ineligible,orvoluntarilyexcludedfromparticipationinthistransaction,thedepartmentoragencywithwhichthistransactionoriginatedmaydisallowcosts,annulorterminatethetransaction,issueastopworkorder,debarorsuspendyou,ortakeotherremediesasappropriate.CertificationRegardingDebarment,Suspension,lneligibilityandVoluntaryExclusion-LowerTierCoveredTransactions33.10.Thelowertierparticipantcertifies,bysigningthisAgreement,thatneitheritnoritsprincipaisarepresentlydebarred,suspended,proposedfordebarment,declaredineligible,orvoluntarilyexcludedfromparticipationinthistransactionbyanyfederaldepartmentoragency.33.11.Wherethelowertierparticipantisunabletocertifytoanyofthestatementsinthiscertification,suchparticipantshallattachanexplanationtothisAgreement.
