PROFESSIONAL SERVICES AGREEMENT <br />This Agreement is made by and between Kittitas County (hereinafier "the County') <br />and Entrust Communlty Seryices (hereinafter "Contractor"). The County and Contractor <br />agree as follows: <br />General Conditions; Attachment A (Scope of Work); Attachment B <br />(Compensation); Attachment C (Proof of lnsurance); Attachment D <br />(Program Agreement between County and DSHS for Developmental <br />Disabilities County Service$l;including Exhibits A and B, which inmrporates <br />the DSHS and County Agreement on General Terms and Conditions by <br />reference); Attachment E (Program Activity Level and Payment Rate <br />Schedule) <br />copies of which are attached hereto and incorporated herein by this reference as fully as if <br />set forth herein, <br />The term of this Agreement shall commence on the July 1,2020 and continue until <br />June 30, 2021. Any party may terminate this Agreement by giving thirty (30) days' notice <br />in writing either personally delivered or mailed postage=prepaid by certified mail, retum <br />receipt requested, to the party's last known address for the purposes of giving notice under <br />this paragraph. <br />Conlractor acknowledges and by signing this Agreement agrees that the <br />lndemnification provisions set forth in Paragraphs 7 (lndependent Contractor), 9 (Taxes), <br />15 (Defense and lndemnity Agreement), 22 (PatenUCopyright lnfringement) and 25 <br />(Confidentiality), are totally and fully part of this Agreement and have been mutually <br />negotiated by the parties. <br />Professional Services Agreement <br />Page 1
