A.22PROHIBITIONAGAINSTPAYMENTOFBONUSORCOMMISSIONTheassistanceprovidedunderthisAgreementshallnotbeusedinpaymentofanybonusorcommissionforthepurposeofobtainingapprovaloftheapplicationforsuchassistanceoranyotherapprovalorconcurrenceunderthisAgreementprovided,however,thatreasonablefeesorbonafidetechnicalconsultant,managerial,orothersuchservices,otherthanactualsolicitation,arenotherebyprohibitedifotherwiseeligibleasprojectcosts.A.23PUBLICITYTheSubrecipientagreestosubmittotheDepartmentpriortoissuancealladvertisingandpublicitymattersrelatingtothisAgreementwhereintheDepartment'snameismentioned,orlanguageusedfromwhichtheconnectionoftheDepartment'snamemay,intheDepartment'sjudgment,beinferredorimplied.TheSubrecipientagreesnottopublishorusesuchadvertisingandpublicitymatterswithoutthepriorwrittenconsentoftheDepartment.TheSubrecipientmaycopyrightoriginalworkitdevelopsinthecourseoforunderthisAgreement,however,pursuantto2CFRPart200.315,FEMAreservesaroyalty-free,nonexclusive,andirrevocablelicensetoreproduce,publishorotherwiseuse,andtoauthorizeotherstousetheworkforgovernmentpurposes.PublicationresultingfromworkpedormedunderthisAgreementshallincludeanacknowledgementofFEMA'sfinancialsuppod,byCFDAnumber,andastatementthatthepublicationdoesnotconstituteanendorsementbyFEMAorreflectFEMA'sviews.A.24RECAPTUREPROVISIONIntheeventtheSubrecipientfailstoexpendfundsunderthisAgreementinaccordancewithapplicablefederal,state,andlocallaws,regulations,and/ortheprovisionsoftheAgreement,theDepartmentreservestherighttorecapturefundsinanamountequivalenttotheextentofnoncompliance.SuchrightofrecaptureshallexistforthelifeoftheprojectfollowingAgreementtermination.RepaymentbytheSubrecipientoffundsunderthisrecaptureprovisionshalloccurwithin30daysofdemand.IntheeventtheDepartmentisrequiredtoinstitutelegalproceedingstoenforcetherecaptureprovision,theDepartmentshallbeentitledtoitscostsandexpensesthereof,includingattorneyfeesfromtheSubrecipient.A.25RECORDSa.TheSubrecipientagreestomaintainallbooks,records,documents,receipts,invoicesandallotherelectronicorwrittenrecordsnecessarytosufficientlyandproperlyreflecttheSubrecipient'scontracts,subawards,grantadministration,andpayments,includingalldirectandindirectcharges,andexpendituresintheperformanceofthisAgreement(the"records").b.TheSubrecipient'srecordsrelatedtothisAgreementandtheprojectsfundedmaybeinspectedandauditedbytheDepadmentoritsdesignee,bytheOfficeoftheStateAuditor,DHS,FEMAortheirdesignees,bytheComptrollerGeneraloftheUnitedStatesoritsdesignees,orbyotherstateorfederalofficialsauthorizedbylaw,forthepurposesofdeterminingcompliancebytheSubrecipientwiththetermsofthisAgreementandtodeterminetheappropriateleveloffundingtobepaidundertheAgreement.c.TherecordsshallbemadeavailablebytheSubrecipientforsuchinspectionandaudit,togetherwithsuitablespaceforsuchpurpose,atanyandalltimesduringtheSubrecipient'snormalworkingday.d.TheSubrecipientshallretainandallowaccesstoallrecordsrelatedtothisAgreementandthefundedproject(s)foraperiodofatleastsix(6)yearsfollowingfinalpaymentandclosureofthegrantunderthisAgreement.Despitetheminimumfederalretentionrequirementofthree(3)years,themorestringentStaterequirementofsix(6)yearsmustbefollowed.A.26RESPONSIBILITYFORPROJECT/STATEMENTOFWORKlWORKPLANWhiletheDepartmentundertakestoassisttheSubrecipientwiththeproject/statementofwork/workplan(project)byprovidingfederalawardfundspursuanttothisAgreement,theprojectitselfremainsthesoleresponsibilityoftheSubrecipient.TheDepadmentundertakesnoresponsibilitytotheSubrecipient,ortoanythirdparty,otherthanasisexpresslysetoutinthisAgreement.Theresponsibilityforthedesign,development,construction,implementation,operationandmaintenanceoftheproject,asthesephrasesareapplicabletothisproject,issolelythatoftheSubrecipient,asisresponsibilityforanyclaimorsuitofanynaturebyanythirdpanyrelatedinanywaytotheproject.DHS-FEMA-HSGP-SHSP-FFY18Page16of38KittitasCountySheriffsOffice,E21-187
