documents,papers,andrecordsofthecontractorwhicharedirectlypertinenttothatspecificcontractforthepurposeofmakingaudit,examination,excerpts,andtranscriptions.14)RetentionofallrequiredrecordsforsixyearsaftertheSubrecipienthasmadefinalpaymentsandallotherpendingmattersareclosed.15)MandatorystandardsandpoliciesrelatingtoenergyefficiencywhicharecontainedinthestateenergyconservationplanissuedincompliancewiththeEnergyPolicyandConservationAct(Pub.L.94-163,89Stat.871).b.TheDepartmentreservestherighttoreviewtheSubrecipient'sprocurementplansanddocumentsandrequiretheSubrecipienttomakechangestobringitsplansanddocumentsintocompliancewiththerequirementsof2CFRPart200.318through200.326.TheSubrecipientmustensurethatitsprocurementprocessrequirescontractorsandsubcontractorstoprovideadequatedocumentationwithsufficientdetailtosupportthecostsoftheprojectandtoallowboththeSubrecipientandDepartmenttomakeadeterminationoneligibilityofprojectcosts.c.AllcontractingagreementsenteredintopursuanttothisAgreementshallincorporatethisAgreementbyreferenceA.11DISCLOSURETheuseordisclosurebyanypartyofanyinformationconcerningtheDepartmentforanypurposenotdirectlyconnectedwiththeadministrationoftheDepartment'sortheSubrecipient'sresponsibilitieswithrespecttoservicesprovidedunderthisAgreementisprohibitedexceptbypriorwrittenconsentoftheDepadmentorasrequiredtocomplywiththestatePublicRecordsAct,otherlaworcourtorder.A.12DISPUTESExceptasotherwiseprovidedinthisAgreement,whenabonafidedisputearisesbetweenthepartiesanditcannotberesolvedthroughdiscussionandnegotiation,eitherpartymayrequestadisputeresolutionpaneltoresolvethedispute.Arequestforadisputeresolutionboardshallbeinwriting,statethedisputedissues,statetherelativepositionsofthepadies,andbesenttoallparties.ThepanelshallconsistofarepresentativeappointedbytheDepartment,arepresentativeappointedbytheSubrecipientandathirdpartymutuallyagreeduponbybothparties.Thepanelshall,bymajorityvote,resolvethedispute.Eachpartyshallbearthecostforitspanelmemberanditsattorneyfeesandcostsandshareequallythecostofthethirdpanelmember.A.13LEGALRELATIONSItisunderstoodandagreedthatthisAgreementissolelyforthebenefitofthepartiestotheAgreementandgivesnorighttoanyotherparty.NojointventureorpartnershipisformedasaresultofthisAgreement.Totheextentallowedbylaw,theSubrecipient,itssuccessorsorassigns,willprotect,saveandholdharmlesstheDepartment,theStateofWashington,andtheUnitedStatesGovernmentandtheirauthorizedagentsandemployees,fromallclaims,actions,costs,damagesorexpensesofanynaturewhatsoeverbyreasonoftheactsoromissionsoftheSubrecipient,itssubcontractors,subrecipients,assigns,agents,contractors,consultants,licensees,invitees,employeesoranypersonwhomsoeverarisingoutoforinconnectionwithanyactsoractivitiesauthorizedbythisAgreement.Totheextentallowedbylaw,theSubrecipientfurtheragreestodefendtheDepartmentandtheStateofWashingtonandtheirauthorizedagentsandemployeesinanylitigation;includingpaymentofanycostsorattorneys'feesforanyclaimsoractioncommencedthereonarisingoutoforinconnectionwithactsoractivitiesauthorizedbythisAgreement.Thisobligationshallnotincludesuchclaims,costs,damagesorexpenseswhichmaybecausedbythesolenegligenceoftheDepartment;provided,thatiftheclaimsordamagesarecausedbyorresultfromtheconcurrentnegligenceof(1)theDepartment,and(2)theSubrecipient,itsagents,oremployees,thisindemnityprovisionshallbevalidandenforceableonlytotheextentofthenegligenceoftheSubrecipient,ortheSubrecipient'sagentsoremployees.Insofarasthefundingsource,theDepartmentofHomelandSecurity(DHS)/FederalEmergencyManagementAgency(FEMA),isanagencyoftheFederalgovernment,thefollowingshallapply:44CFR206.9Non-liability.TheFederalgovernmentshallnotbeliableforanyclaimbasedupontheexerciseorperformanceof,orthefailuretoexerciseorpelformadiscretionaryfunctionordutyontheDHS-FEMA-HSGP-SHSP-FFY18Page14of38KittitasCountySheriffsOffice,E21-187
