ExhibitBWashingtonStateMilitaryDepartmentGENERALTERMSANDCONDITIONSDepartmentofHomelandSecurity(DHS)lFederalEmergencyManagementAgency(FEMA)GrantsA.1DEFINITIONSAsusedthroughoutthisAgreement,thetermswillhavethesamemeaningasdefinedin2CFR200SubpartA(whichisincorporatedhereinbyreference),exceptasotherwisesetforthbelow:a."Agreement"meansthisGrantAgreement.b."Department"meanstheWashingtonStateMilitaryDepartment,asastateagency,anydivision,section,office,unitorotherentityoftheDepartment,oranyoftheofficersorotherofficialslawfullyrepresentingthatDepartment.TheDepartmentisarecipientofafederalawarddirectlyfromafederalawardingagencyandisthepass-throughentitymakingasubawardtoaSubrecipientunderthisAgreement.c."Subrecipient"whencapitalizedisprimarilyusedthroughoutthisAgreementinreferencetothenon-federalentityidentifiedontheFaceSheetofthisAgreementthathasreceivedasubawardfromtheDepartment.However,thedefinitionof"Subrecipient"isthesameasin2CFR200.93forallotherpurposes.d."MonitoringActivities"meansalladministrative,financial,orotherreviewactivitiesthatareconductedtoensurecompliancewithallstateandfederallaws,rules,regulations,authoritiesandpolicies.e."Investment"meansthegrantapplicationsubmittedbytheSubrecipientdescribingtheproject(s)forwhichfederalfundingissoughtandprovidedunderthisthisAgreement.SuchgrantapplicationisherebyincorporatedintothisAgreementbyreference.A.2ADVANCEPAYMENTSPROHIBITEDTheDepartmentshallmakenopaymentsinadvanceorinanticipationofgoodsorservicestobeprovidedunderthisAgreement.SubrecipientshallnotinvoicetheDepartmentinadvanceofdeliveryandinvoicingofsuchgoodsorservices.A.3AMENDMENTSANDMODIFICATIONSTheSubrecipientortheDepartmentmayrequest,inwriting,anamendmentormodificationofthisAgreement.However,suchamendmentormodificationshallnotbebinding,takeeffectorbeincorporatedhereinuntilmadeinwritingandsignedbytheauthorizedrepresentativesoftheDepartmentandtheSubrecipient.Nootherunderstandingsoragreements,writtenororal,shallbebindingontheparties.A.4AMERICANSWITHDISABILITIESACT(ADA)OF1990,PUBLICLAW101-336,42U.S.C.12101ETSEQ.ANDITSIMPLEMENTINGREGULATIONSALSOREFERREDTOASTHE"ADA"28CFRPart35.eSubrecipientmustcomplywiththeADA,whichprovidescomprehensivecivilrightsprotectiontoindividualswithdisabilitiesintheareasofemployment,publicaccommodations,stateandlocalgovernmentservices,andtelecommunication.A.5ASSURANCESTheDepartmentandSubrecipientagreethatallactivitypursuanttothisAgreementwillbeinaccordancewithalltheapplicablecurrentfederal,stateandlocallaws,rulesandregulations.A.6CERTIFICATIONREGARDINGDEBARMENT,SUSPENSION,ORINELIGIBILITYAsfederalfundsareabasisforthisAgreement,theSubrecipientcertifiesthattheSubrecipientisnotpresentlydebarred,suspended,proposedfordebarment,declaredineligible,orvoluntarilyexcludedfromparticipatinginthisAgreementbyanyfederaldepartmentoragency.TheSubrecipientshallcomplete,sign,andreturnaCertificationRegardingDebarment,Suspension,Ineligibility,andVoluntaryExclusionformlocatedathttp://mil.wa.govlemergency-manaqement-divisionlarants/requiredqrantforms.AnysuchformcompletedbytheSubrecipientforthisAgreementshallbeincorporatedintothisAgreementbyreference.DHS-FEMA-HSGP-SHSP-FFY18Page10of38KittitasCountySheriffsOftlce,E21-187
