beyond the reasonable control ofthe Contractor and without its fault or negligence, such as acts ofGod or the public <br />enemy' acts of the Government in either its sovereign or contrectual capacity, fires, floods, epidemics, quarantine <br />restrictions, strikes, unusually severe weather, and deleys of common carriers. The Contractor shall nohfy the <br />Contracting Ollicer in writing as soon as it is reasonably possible after the commencement of any excusable delay, <br />setting forth the full particulars in connection therewithn shall remedy such occurrence with all reasonable dispaich, <br />and shall promptly give written notice to the Contracting Oflicer of the cessation of such occurrence. <br />(f) Terminationfor the Government's convenience. The Government reserves the right to terminate this contract, or <br />any part hereof' for its sole convenience. In the event of such termination, the Contractor shall immediately stop a[ <br />work hereunder end shall immediately cause any and all of its suppliers and subcontractors to cease work. Subject to <br />the terms of this contract, the Contractor shall be paid a percentage of the contract price reflecting the percentage of <br />the work performed prior to the notice of termination, plus reasonable charges that the Contractor can demonstrate <br />to the satisfaction of the Government, using its standerd record keeping system, have resulted from the termination. <br />The Contractor shall not be required to comply with the cost accounting standards or contract cost principles for this <br />purpose. This paragraph does not give the Government any right to audit the Contractor;s records. The Conhactor <br />shall not be paid for any work performed or costs incurred that reasonably could have been avoided. <br />(g) Terminationfor cause. The Government may terminate this contract, or any part hereof, for cause in the event <br />of eny default by the Contractor, or if the Contractor fails to comply with any contract terms and conditions, or fails <br />to provide the Government, upon request, with adequate assurances offuture performance. In the event of <br />termination for cause, the Government shall not be liable to the Contractor for any amount for supplies or services <br />not accepted' and the Contractor shall be liable to the Government for any and all rights and remedies provided by <br />lew. If it is determined that the Government improperly terminated this contract for default, such termination shail <br />be deemed a termination for convenience. <br />(h) Watranty. The Contractor warrants and implies that the items delivered hereunder are merchlntable and fit <br />for use for the particular purpose described in this contract. <br />(End of clause) <br />52.217-8 OPTTON TO EXTEND SERVTCES (NOV 1999) <br />The Government may require continued performance of any services within the limits and at the rates specified in the <br />contract. These rates may be adjusted only as a result ofrevisions to prevailing labor retes provided by the Secretary <br />of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder <br />- <br />shall not exceed 6 months. The Contracting Oflicer may exercise the option by written notice to the Contractor within <br />30 days. <br />@nd of Cleuse) <br />52.217-9 Option To Extend the Term of the Contract. (MAR 2000) <br />(a) The Government may extend the term of this contrect by written notice to the Contractor within 30 days ; <br />provided thet the Government gives the Contractor a preliminary written notice of its intent to extend at liast 60 days <br />(60 days unless a ditferent number of days is inserted) before the contract expires. The preliminary notice does not <br />commit the Government to an extension. <br />(b) Ifthe Government exercises this option, the extended contract shall be considered to include this option clause. <br />(c) The total duration ofthis contract, including the exercise ofany options under this clause, shall not exceed 60 <br />(months)(years). <br />(End ofclause) <br />1452.20t-70 AUTHORTTIES AND DELEGATTONS (SEp 20ll) <br />(a) The Contracting Officer is the only individual authorized to enter into or terminate this contrac! modify any term <br />or condition of this contract, waive eny requirement of this contract, or accept nonconforming work. <br />(b) The Contracting Ollicer will designate a Contracting Oflicer's Representative (COR) at time of award. The COR <br />will be responsible for technical monitoring of the contractor's performance and deliveries. The COR will be <br />appointed in writing, and a copy of the appointment will be furnished to the Contractor. Changes to this delegation <br />will be made by written changes to the existing appointment or by issuance of a new appointment. <br />(c) The COR is not authorized to perform, formally or informellyn any of the following actions:(l) Promise' award, agree to award, or execute any contract, contract modification, or notice ofintent that changes or <br />Page 2l
