All rights reserved. <br />(1) We provide written notice of our willingness to renew this Policy, including a statement of the <br />amount of the premium or portion thereof required to be paid, to the Named Insured either <br />directly or through the Named Insured’s authorized representative, if any, at least twenty <br />(20) days prior to the expiration of the Policy, and the Named Insured fails to discharge the <br />payment when due; <br />(2) The Named Insured has procured equivalent coverage prior to expiration of the Policy term; <br />or, <br />(3) The Policy is evidenced by a written binder containing a clearly stated expiration date which <br />has expired by its terms. <br />g. Whenever a notice of cancellation or renewal of this Policy is provided to the Named Insured, a <br />copy of such notice shall be provided to the Named Insured’s authorized producer or agent, if any, <br />within five (5) working days. Whenever possible, the copy to the Named Insured’s authorized <br />producer or agent, if any, shall be provided electronically. <br /> <br />Subpart 5 of the Insuring Agreement is deleted and replaced with the following: <br /> <br />5. As of the continuous insurance start date no Insured knew or should have known of any same or related <br />wrongful act, fact, circumstance or adverse outcome that might reasonably result in the claim. <br /> <br />The following definition is added to the Definitions: <br /> <br />Continuous insurance start date means the first date that you became an Insured under a policy of insurance <br />issued by us to the Named Insured that is continuously renewed by us without interruption, up to and including <br />the current policy period of this Policy. <br /> <br /> The following definitions are deleted from the Definitions: <br /> <br />Prior claim means any claim first reported to us during the policy period, but first made against an Insured <br />during the effective dates of a prior policy issued by us to the Named Insured and continuously renewed up to <br />the present policy period. <br /> <br />Prior known incident means any same or related wrongful act, legal services, fact, circumstance or adverse <br />outcome that results in a claim being first made against an Insured during this policy period, and which: <br />a. Is known to an Insured; <br />b. Is reasonably apparent to an Insured that a claim might be made; and, <br />c. Became known to an Insured during a prior policy issued by us to the Named Insured and continuously <br />renewed up to the present policy period. <br /> <br /> <br />All other terms and conditions of the Policy remain unchanged.
