_ This Agreement is made by and between Kittitas County (hereinafter "the County") <br />and Contractor HopeSource (hereinafter "Contractor"). The County and Contractor agree <br />as follows: <br />General conditions; Exhibit A (scope of work); Exhibit B (compensation); <br />Exhibit c (Proof of lnsurance), Exhibit D (Schedule of costs); Exhibit i <br />(Purpose) <br />copies of which are attached hereto and incorporated herein by this reference as fully as if <br />set forth herein. <br />The term of this Agreement shallcommence on October 15,2020 and continue until <br />completion of the initial 12-month period from the date of Service Activation as ouflined in <br />Exhibit A (Scope of Work). After the 12-month period has ended, this Agreement may be <br />renewed for additional 30-day periods upon execution of an amendment ior renewal Oy tfreparties. Any party may terminate this Agreement by giving thirty (30) days' notice in writing <br />either personally delivered or mailed postage-prepaid by certified mail, return receipl <br />requested, to the party's last known address for the purposes of giving notice under thisparagraph. Termination of this Agreement is limited to the circumstances ouflined in <br />sections 13 and 14 below. <br />Contractor acknowledges and by signing this Agreement agrees that the <br />lndemnification provisions set forth in Paragraphs 7 (lndependent Contra-tor), g (Taxes),15 (Defense and lndemnity Agreement), 21 (Patent/Copyright lnfringement) and 24(Confidentiality), are totally and fully part of this Agreement and have been mutually <br />negotiated by the parties. <br />"f _@d, <br />WITNESS WHEREOF, the parties have executed this Agreement this M^, <br />Professional Services Agreement <br />Page 1 of 22
