oralorotherwise,regardingthesubjectmatterofthisAgreementshallbedeemedtoexistortobindanyofthePartieshereto.8.ASSIGNMENTTheSUB-RECIPIENTmaynotassigntheworktobeprovidedunderthisAgreement,inwholeorinpart,withouttheexpresspriorwrittenconsentoftheWTSC,whichconsentshallnotbeunreasonablywithheld.TheSUB-RECIPIENTshallprovidetheWTSCacopyofallthird-partycontractsandagreementsenteredintoforpurposesoffulfillingtheSOW.Suchthird-partycontractsandagreementsmustfollowapplicablefederal,state,andlocallaw,includingbutnotlimitedtoprocurementlaw,rules,andprocedures.IfanyofthefundsprovidedunderthisAgreementincludefundsfromNHTSA,suchthird-partycontractsandagreementsmustincludethefederalprovisionssetforthinthisAgreementinsections34through42.9.ATTORNEYS'FEESIntheeventoflitigationorotheractionbroughttoenforcetheAgreementterms,eachPartyagreestobearitsownattorneyfeesandcosts.10.BILLINGPROCEDUREAllinvoicesforreimbursementofHVEactivitieswillbedoneusingtheWTSC'sgrantmanagementsystem,WEMS.WEMSOfficerActivitylogswillbeattachedtoinvoices,directlylinkingthecostoftheactivitytotheinvoice.Becausetheactivity,approval,andinvoicingarealldonewithinWEMS,nobackupdocumentationisrequiredinmostcases.OncesubmittedbytheSUB-RECIPIENT,invoicesareroutedtotheregionalTZMforreviewandapproval.TheTZMwillsubmitallapprovedinvoicestotheWTSCviaWEMSwithin10daysofreceipt.PaymenttotheSUB-RECIPIENTforapprovedandcompletedworkwillbemadebywarrantoraccounttransferbyWTSCwithin30daysofreceiptofsuchproperlydocumentedinvoicesacceptabletoWTSC.UponexpirationoftheAgreement,anyclaimforpaymentnotalreadymadeshallbesubmittedwithin45daysaftertheexpirationdateofthisAgreement.AllinvoicesforgoodsreceivedorservicesperformedonorpriortoJune30,2021,mustbereceivedbyWTSCnolaterthanAugust10,2021.AllinvoicesforgoodsreceivedorservicesperformedbetweenJuly1,2021andSeptember30,2021,mustbereceivedbyWTSCnolaterthanNovember15,2021.11.CONFIDENTIALITY/SAFEGUARDINGOFINFORMATIONTheSUB-RECIPIENTshallnotuseordiscloseanyinformationconcerningtheWTSC,orinformationwhichmaybeclassifiedasconfidential,foranypurposenotdirectlyconnectedwiththeadministrationofthisAgreement,exceptwithpriorwrittenconsentoftheWTSC,orasmayberequiredbylaw.12.COSTPRINCIPLESCostsincurredunderthisAgreementshalladheretoprovisionsof2CFRPart200SubpartE.13.COVENANTAGAINSTCONTINGENTFEESTheSUB-RECIPIENTwarrantsthatithasnotpaid,andagreesnottopay,anybonus,commission,brokerage,orcontingentfeetosolicitorsecurethisAgreementortoobtainapprovalofanyapplicationfor
