AGREEMENT FOR <br />INSTALLATION AND SERVICE OF INMATE TELEPHONES <br />THIS AGREEMENT, -entered into this kkday o <br />1993, by and between the Kittitas County, Ellensburg�Sta <br />of Washington, hereinafter referred to as "CLIENT"and <br />GATEWAY Technologies,Inc., hereinafter referred to as <br />"GATEWAY". <br />1. TERM <br />The term of this Agreement shall be for a period of (4) <br />years commencing at the termination of the present agreement <br />on April 4, 1994. <br />1.1 CLIENT may cancel this Agreement with thirty (30) <br />days advance notice in the event that GATEWAY fails to make <br />the payments required by paragraph 8.1 herein. <br />1.2 GATEWAY may cancel this Agreement with thirty (30) <br />days advance` written notice if GATEWAY determines that <br />providing telephone service to CLIENT negatively impacts the <br />business of GATEWAY. <br />2. SPECIFIC AUTHORIZATION <br />CLIENT hereby authorizes GATEWAY to install equipment <br />specified herein and to provide telephone service for all <br />inmate telephones located at CLIENT'S designated site. <br />During the term of the Agreement, GATEWAY shall be the <br />exclusive provider of inmate telephone service at the <br />CLIENT's designated site. <br />3. PRODUCTS AND SERVICES TO BE PROVIDED <br />3.1 GATEWAY shall install and maintain, at its sole cost <br />and expense, all phones as required. GATEWAY may contract <br />with a local contractor to install telephones and wiring. <br />GATEWAY personnel will oversee contractor's work to assure <br />that all work has been performed according to specification <br />and then place the System in service. <br />3.2 If additional wiring or conduit needs to be run in <br />order to complete installation, GATEWAY may employ a <br />licensed contractor. CLIENT shall have the option of naming <br />such contractor. <br />3.3 GATEWAY shall maintain the inmate telephone system <br />in operational condition at all times. Should breakdown <br />occur or should the system become inoperable or not <br />functioning in accordance with specifications. CLIENT shall <br />immediately contact GATEWAY'S service department at 1-800- <br />395-1535 and describe the nature of the problem. GATEWAY <br />personnel will then attempt to remotely diagnose and correct <br />the problem. All repair work shall be done in such a manner <br />as to minimize the disruption of inmate telephone service <br />and assure the integrity of facility security at all times. <br />page 1 of 3 pages <br />
