GENERALCONDITIONS1.ScopeofContractor'sServices:ContractoragreestoprovidetotheCountyservicesandanymaterialssetforthintheprojectnarrativeidentifiedinExhibit"A"duringtheAgreementperiod.Nomaterial,labor,orfacilitieswillbefurnishedbytheCounty,unlessotherwiseprovidedforintheAgreement.2.PerformanceofWork:Contractorshallperformworkinaccordancewith,andshallcomplywith,alloftheprovisionsofthisAgreement.Allworkshallcomplywithapplicablecodesandordinances.3.ScheduleofPerformance:UnlessdirectedotherwisebytheCounty,ContractorshallperformtheworkinaccordancewithanyschedulesmadeapartofthisAgreement.4.Definitions:4.1"AdditionalInsureds"meanstheCounty,itssuccessorsandassigns,andtherespectivedirectors,officers,employees,agentsandrepresentativesoftheCountyanditssuccessorsandassigns.4.2"Support"meansthefollowing:Contractor'sdirectors,officers,employees,agentsandrepresentatives;andsub-Contractorsofanytier;therespectivedirectors,officers,employees,agentsandrepresentativesofthesesub-Contractorsofanytier;andanyotherpersonorentityactingunderthedirectionorcontrolof,oronbehalfof,ContractororanyContractor'ssub-ContractorsofanytierinconnectionwithorincidenttotheperformanceoftheWorkorthisAgreement.4.3The"Work"meansallofthedutieslistedinExhibitAandtheperformanceofallotherobligations,underthisAgreementbyContractororitsSupport.5.AccountinqandPaymentforContractorServices:PaymenttotheContractorforservicesrenderedunderthisAgreementshallbeassetforthinExhibit"B".WhereExhibit"B"requirespaymentsbytheCounty,paymentshallbebaseduponbillings,supportedunlessotherwiseprovidedinExhibit"B",bydocumentationofunitsofworkactuallyperformedandamountsearned,includingwhereappropriate,theactualnumberofdaysworkedeachmonth,totalnumberofhoursforthemonth,andthetotaldollarpaymentrequested.UnlessspecificallystatedinExhibit"B"orapprovedinwritinginadvancebytheKittitasCountyBoardofCommissioners,theCountywillnotreimbursetheContractorforanycostsorexpensesincurredbytheContractorinperformanceofthisAgreement.Whererequired,theCountyshall,uponreceiptofappropriatedocumentation,compensatetheContractor,nomoreoftenthanmonthly,throughtheCountyvouchersystem,fortheContractor'sservicepursuanttothefeeschedulesetforthinExhibit"B".ProfessionalServicesAgreement(rev.09/24/2018)Page3of18
