20.3ThisAgreementhasbeenvalidlyexecutedbyanauthorizedrepresentativeoftheContractorandconstitutesavalidandlegallybindingandenforceableobligationofContractor.20.4TheContractorhasorwillobtainpriortothecommencementdatesuchlicenses,permitsandotherauthorizationsfromfederal,stateandothergovernmentalauthorities,asarenecessaryfortheperformanceofitsobligationsunderthisAgreement.20.5TheContractorisnotinviolationofanyapplicablelaw,ordinanceorregulationtheconsequenceofwhichwillormaymateriallyaffectContractor'sabilitytoperformitsobligationsunderthisAgreement.TheContractorisnotsubjecttoanyorderorjudgmentofanycourt,tribunalorgovernmentalagencywhichmateriallyandadverselyaffectsitsoperationsorassetsintheStateofWashington,oritsabilitytoperformitsobligationsunderthisAgreement.20.6NoneoftherepresentationsorwarrantiesinthisAgreement,andnoneofthedocuments,statements,certificatesorschedulesfurnishedortobefurnishedbyContractorpursuantheretoorinconnectionwiththeperformanceoftheobligationscontemplatedunderthisAgreement,containsorwillcontainanyuntruestatementofamaterialfactoromitsorwillomittostateamaterialfactnecessarytomakethestatementsoffactcontainedthereinnotmisleading.21.Patent/CopyrightInfringement:ContractorwilldefendandindemnifytheCountyfromanyclaimedaction,causeordemandbroughtagainsttheCounty;totheextentsuchactionisbasedontheclaimthatinformationsuppliedbytheContractorinfringesanypatentorcopyright.TheContractorwillpaythosecostsanddamagesattributabletoanysuchclaimsthatarefinallyawardedagainsttheCountyinanyaction.Suchdefenseandpaymentsareconditioneduponthefollowing:21.1ContractorshallbenotifiedpromptlyinwritingbyCountyofanynoticeofsuchclaim.21.2Contractorshallhavetheright,hereunder,atitsoptionandexpense,toobtainfortheCountytherighttocontinueusingtheinformation,intheeventsuchclaimofinfringementismade,providednoreductioninperformanceorlossresultstotheCounty.22.Disputes:22.1GeneralDifferencesbetweentheContractorandtheCounty,arisingunderandbyvirtueoftheAgreementDocumentsshallbebroughttotheattentionoftheCountyattheearliestpossibletimeinorderthatsuchmattersmaybesettledorotherappropriateactionpromptlytaken.Exceptforsuchobjectionsasaremadeofrecordinthemannerhereinafterspecifiedandwithinthetimelimitsstated,therecords,orders,instructions,anddecisionsoftheKittitasCountyCommissionersshallbefinalandconclusive.ProfessionalServicesAgreement(rev.09/24/2018)Page8of18
