9. No Claim or right arising out of the breech of this agreement can be discharged in <br />whole or in part by a waiver or renunciation of such claim or right unless the waiver <br />or renunciation is in writing signed by the aggrieved party. <br />10. This Agreement has been and shall be construed as having been made and delivered <br />within the State of Washington, and it is agreed by each party hereto that this <br />Agreement shall be governed by the laws of the State of Washington, both as to interpretation <br />and performance. Any action of law, suit in equity, or judicial proceeding for the enforcement of <br />this Agreement or any provision thereof shall be instituted and maintained only in any of the <br />courts of competent jurisdiction in Kittitas County, Washington. <br />11. The invalidity or unenforceability of any particular provision of this Agreement shall not affect <br />other provisions hereof and this Agreement shall be construed in all respects as if such invalid or <br />unenforceable provisions where omitted. <br />12. This Agreement shall inure to the benefit of and be binding upon the parties named herein as the <br />SELLER and COUNTY and, except as heretofore provided, to their respective successors, <br />assigns, heirs, executors, legal representatives and administrators. <br />13. This Agreement may be executed in counterparts, each of which shall be deemed an original but <br />all of which together shall constitute one and the same instrument. <br />14.
