KITTITAS COUNTY REQUEST FOR PERFORMANCE OF WORK ON A REIMBURSEABLE BASIS AGREEMENT This agreement, made and entered into this W day of D-.-� , 2015, by and between Kittitas County, Washington, a political subdivision of the State of Washington hereinafter referred to as the "County", and the City of Roslyn, hereinafter referred to as the "City" WHEREAS: The City desires to contract with the County for the performance of Snow removal within the City of Roslyn, roads and streets as per Exhibit "A": and, WHEREAS: The County is agreeable to rendering such service on terms and conditions hereinafter set forth. WITNESS: It is hereby covenanted and agreed as follows: 1. For the Snow Removal to be performed under this contract, the County will prioritize school bus routes and provide service to other city streets once County priority roads have been plowed. 2. The City hereby agrees to reimburse the County for the costs of Snow Removal as per Exhibit "A", based on the actual cost of labor, equipment rental, and materials used in Snow Removal, plus all costs for fringe benefits to labor, including prorated sick leave, holidays and vacation time, and group medical insurance. In addition thereto, an amount equal to fifteen percent (15%) of the total costs shall be added for overhead costs for accounting, billing and administrative services; provided, that the County shall submit to the City a statement of the cost and within thirty (30) days thereafter the City shall pay to the County the amount of said statement. The City shall defend, indemnify and hold the County, its officers, officials, employees and volunteers harmless from any and all claims, injuries, damages, losses or suits including attorney fees, arising out of or resulting from the acts, errors, or omissions of the County in performance of this Agreement, except for injuries and damages caused by the sole negligence of the County. 4. Nothing herein contained shall be construed as in any way divesting the City of any of its powers with respect to the supervision, management and control of streets and utilities within its boundaries.
