Contractor,itssub-Contractors,itselectedofficers,employeesortheiragents,exceptonlysuchinjuryordamageasshallhavebeenoccasionedbythesolenegligenceoftheCounty,itsAdditionalInsureds,appointedorelectedofficials,agents,oremployees.ItisfurtherprovidedthatnoliabilityshallattachtotheCountybyreasonofenteringintothiscontract,exceptasexpresslyprovidedherein.16.IndustrialInsuranceWaiverWithrespecttotheperformanceofthisAgreementandastoclaimsagainsttheCounty,itsAdditionalInsureds,officers,agentsandemployees,theContractorexpresslywaivesitsimmunityunderTitle51oftheRevisedCodeofWashington,theIndustrialInsuranceAct,forinjuriestoitsemployeesandagreesthattheobligationstoindemnify,defendandholdharmlessprovidedinthisagreementextendtoanyclaimbroughtbyoronbehalfofanyemployeeoftheContractor.ThiswaiverismutuallynegotiatedbythepartiestothisAgreement.17.VenueandChoiceofLaw:IntheeventthatanylitigationshouldariseconcemingtheconstructionorinterpretationofanyofthetermsofthisAgreement,thevenueofsuchactionoflitigationshallbeintheSuperiorCourtoftheStateofWashingtoninandfortheCountyofKittkas.ThisAgreementshallbegovemedbythelawoftheStateofWashington.18.WithholdingPayment:IntheeventtheContractorhasfailedtoperformanyobligationtobeperformedbytheContractorunderthisAgreementwithinthetimesetforthinthisAgreement,thentheCountymay,uponwrittennotice,withholdallmoniesdueandpayabletoContractor,withoutpenalty,untilsuchfailuretoperformiscuredorotherwiseadjudicated.19.FutureNon-AllocationofFunds:IfsufficientfundsarenotappropriatedorallocatedforpaymentunderthisAgreementforanyfuturefiscalperiod,theCountywillnotbeobligatedtomakepaymentsforservicesoramountsincurredaftertheendofthecurrentfiscalperiod.NopenaltyorexpenseshallaccruetotheCountyintheeventthisprovisionapplies.20.ContractorCommitments,WarrantiesandRepresentations:TheContractorrepresentsandwarrantstotheCountyasfollows:20.1TheContractorisdulyincorporated,validlyexistingandingoodstandingunderthelawsoftheStateofWashington,andhasallrequisitecorporatepowerandauthoritytoenterintoandtoperformitsobligationsunderthisAgreement.20.2TheContractorhastheauthoritytoexecutethisAgreement,tomaketherepresentationsandwarrantiessetforthinitandtoperformtheobligationsoftheContractorunderthisAgreementinaccordancewithitsterms.ProfessionalServicesAgreement(rev.09/24/2018)Page7of17
