MAIS shall store and process Data in accordance with commercially reasonable practices, including appropriate <br />safeguards, to secure such Data from unauthorized access, disclosure, alteration and use. <br /> <br />2. MAIS shall ensure that its employees and subcontractors who have potential access to Data have undergone <br />appropriate background screening and possess the required qualifications to comply with the terms of this <br />Agreement. <br /> <br />3. Response to Legal Orders, Demands or Requests for Data. <br /> <br />a. Where permitted by law MAIS shall: <br /> <br />i. Promptly notify the Customer of any subpoenas, warrants, or other legal orders, demands or <br />requests received by MAIS seeking Data; <br />ii. Consult with the Customer regarding its response; <br />iii. Cooperate with the Customer’s reasonable requests, at Customer’s expense, in connection with <br />efforts by the Customer to intervene and quash or modify the legal order, demand or request; and <br />iv. Upon the Customer’s request, provide the Customer with a copy of its response. <br /> <br />b. If the Customer receives a subpoena, warrant, or other legal order, demand (“requests”) or request <br />seeking Data maintained by MAIS, Customer will promptly provide a copy of the request to MAIS. <br />MAIS will, where permitted by law, promptly supply Customer with c opies of records or information <br />required for the Customer to respond, and will cooperate with Customer’s reasonable requests, and <br />at Customer’s expense, in connection with its response. <br /> <br />
