-22- 502686980 v1 <br />(g) To the extent permitted by law, the County and the Bank, as applicable, hereby <br />waive its right to a trial by jury in any action or proceeding arising out of, or relating to, this <br />resolution, the Bond, or any related documents. <br /> (h) Upon the occurrence of a Payment Default and if the bank incurs any expenses in <br />connection with the enforcement of the County’s obligations to the Bank, or if the County takes <br />collection action in connection with the Bond, the County shall pay to the Bank, on demand, the <br />Bank’s reasonable costs and reasonable attorneys’ fees, whether at trial, on appear or otherwise, <br />including allocated costs of in-house counsel, subject to a limit of $10,000. <br /> Section 15. Resolution and Laws a Contract with the Bank. This resolution is <br />adopted under the authority of and in full compliance with the Constitution and laws of the State <br />of Washington, including Title 36 of the Revised Code of Washington, as amended and <br />supplemented. In consideration of the loan made by the Bank, evidenced by the Bond, the <br />provisions of this resolution and of said laws shall constitute a contract with the Bank, and the <br />obligations of the County and its Board under said laws and under this resolution shall be <br />enforceable by any court of competent jurisdiction; and the covenants and agreements herein and <br />in the Bond set forth shall be for the equal benefit of the Bank and any permitted trans feree or <br />assignee. <br /> Section 16. Severability. If one or more of the covenants or agreements provided in <br />this resolution to be performed on the part of the County shall be declared by any court of <br />competent jurisdiction to be contrary to law, then such covenant or covenants, agreement or <br />agreements, shall be null and void and shall be deemed separable from the remaining covenants <br />and agreements in this resolution and shall in no way affect the validity of the oth er provisions of <br />this resolution or of the Bond.
