4.41 .3.2 The Contracts Administrator must give the Contractor at least ten <br />(10) business days' notice of HCAs intent to terminate the <br />Agreement, along with a summary of the facts supporting such <br />termination. <br />4.41 .3.2.1 The Contractor must have a least ten (10) business <br />days in which to cure the default provided that it will <br />reasonably take longer than ten (10) business days <br />to cure the default, the cure period will be a <br />reasonable period agreed by the parties. <br />4.41.3.2.2 In the event of a continuing pattern of default, the <br />Contracts Administrator will not be required to <br />provide a cure period. <br />4.41 .3.2.3 The Contract Administrator is not required to offer a <br />cure period if a client's health or safety is at risk . This <br />provision does not apply if the alleged default is an <br />activity related to Contractor law, custom, or practice. <br />4.41.3.3 The Contractor may terminate this Agreement for default, in whole <br />or in part, by written notice to HCA if the Contractor has a <br />reasonable basis to believe that HCA has: <br />4.41 .3.3.1 Failed to meet or maintain any requirement for <br />contracting with the Contractor: <br />4.41.3.3.2 Failed to perform under any provision of the <br />Agreement; <br />4.41.3.3.3 Violated any law, regulation, rule, or ordinance <br />applicable to work performed under the Agreement; <br />and/or <br />4.41.3.3.4 Otherwise breached any provision or condition of the <br />Agreement. <br />4.41.3.4 Before the Contractor may terminate the Agreement for default, the <br />Contract must provide HCA at least ten (10) business days written <br />notice of the Contractor's intent to terminate the Agreement, along <br />with a summary of the facts supporting such termination. HCA must <br />have at least ten (10 business days in which to cure the default <br />provided that it will reasonably take longer than ten (10) business <br />days to cure the default, the cure period must be a reasonable <br />period agreed by the parties. <br />4 .41.4 TERMINATION FOR WITHDRAWAL OF AUTHORITY <br />Washington State <br />Health Care Authority Page 35 of 90 HCA Contract No. K3924
