Subagent shall provide all training to its Subagent VLRs as requested by Agent. <br />Subagent shall ensure that all Subagent VLR's receive and complete each and every <br />required training by the designated timelines. Any non -completed training must be reported <br />to Agent. <br />Subagent shall track the training of all Subagent VLRs, and provide written verification of all <br />completed trainings to the Agent prior to the timelines associated with each training. <br />6. NOTICE REQUIREMENTS: <br />Required Notice to Agent: <br />Subagent has an affirmative duty to notify the Agent if Subagent, or Subagent's Agreement <br />Manager learns of any of the following: <br />ID If any Subagent VLR is no longer acting as a VLR for the Subagent <br />If any Subagent VLR engages in any Prohibited Activity as provided in Contract Section <br />13 (c) — Level III Breach Prohibited Activities or other actions that may cause the <br />Subagent to be in a Level III Breach. <br />■ If Subagent or Subagent VLRs ever use the Confidential Information in a manner that <br />violates and/or exceeds the Permissible Uses as stated herein. <br />7. SUBAGENT VLO CLOSURE <br />Upon the expiration or termination of this Agreement or upon the closure of the Subagents <br />business, Subagent shall permit and/or facilitate the following: <br />a) Subagent shall preserve all records, monies, supplies, inventory, and equipment, and keep the <br />same secure until they are audited and/or otherwise in the possession of Agent or DOL. Agent <br />will immediately perform an audit, or assist DOL to perform an audit on all of the Subagent's <br />business practices related to this Agreement. <br />b) Subagent shall cooperate and permit Agent and/or DOL to conduct an audit on all of <br />Subagent's transactions, operations, accounting, inventory, and equipment related to this <br />Agreement. <br />Prior to the audit, Subagent is prohibited from altering, removing, destroying or otherwise <br />manipulating equipment, documents, records, files, negotiable items including money, and <br />any other materials in any manner not related to the proper fulfillment of services under this <br />Agreement. <br />c) Subagent will permit Agent or DOL to take possession of all remaining supplies, inventory, and <br />equipment, provided under this Agreement. <br />d) Subagent will permit Agent or DOL to take possession of all vehicle and vessel title and <br />licensing related fees and taxes collected, <br />e) Subagent shall pay all applicable fees owing to Agent and/or DOL. <br />County Agent/Subagent Contract: Page 23 of 28 County VLO #VO1904 <br />Version: January 2020 Attachment A — Statement of Work <br />
