•SusanMusselman,Director•DuncanBrown,SeniorManagingConsultant2.ChangesinStaffRequestedbytheClientTheClienthastherighttorequest,foranyreason,PFMtoreplaceanymemberoftheadvisoryteam.ShouldtheClientmakesucharequest,PFMshallpromptlysuggestasubstituteforapprovalbytheClient.X.INSURANCEPFMshallmaintaininsurancecoveragewithpolicylimitsnotlessthanasstatedinExhibitC.XI.LIMITATIONOFLIABILITYExcepttotheextentcausedbywillfulmisconduct,badfaith,grossnegligenceorrecklessdisregardofobligationsordutiesunderthisAgreementonthepartofPFMoranyofitsassociatedpersons,neitherPFMnoranyofitsassociatedpersonsshallhaveliabilitytoanypersonforanyactoromissioninconnectionwithperformanceofitsserviceshereunder,orforanyerrorofjudgmentormistakeoflaw,orforanylossarisingoutofanyissuanceofmunicipalsecurities,anymunicipalfinancialproductoranyotherfinancialproductorinvestment,orforanyfinancialorotherdamagesresultingfromClient'selectiontoactornottoact,asthecasemaybe,contrarytoor,absentnegligenceonthepartofPFMoranyofitsassociatedpersons,uponanyadviceorrecommendationprovidedbyPFMtoClient.XII.INDEPENDENTCONTRACTOR;NOTHIRD-PARTYBENEFICIARYPFM,itsemployees,officersandrepresentativesatalltimesshallbeindependentcontractorsandshallnotbedeemedtobeemployees,agents,partners,servantsand/orjointventurersofClientbyvirtueofthisAgreementoranyactionsorservicesrenderedunderthisAgreement.NothinginthisAgreementisintendedorshallbeconstruedtogiveanyperson,otherthanthePartieshereto,theirsuccessorsandpermittedassigns,anylegalorequitablerights,remedyorclaimunderorinrespectofthisAgreementoranyprovisionscontainedherein.XIII.APPLICABLELAWThisAgreementshallbeconstrued,enforced,andadministeredaccordingtothelawsoftheStateofWashington.PFMandtheClientagreethat,shouldadisagreementariseastothetermsorenforcementofanyprovisionofthisAgreement,eachpartywillingoodfaithattempttoresolvesaiddisagreementpriortopursuingotheraction.XIV.ENTIREAGREEMENT;SEVERABILITYThisAgreementrepresentstheentireagreementbetweenClientandPFMandmaynotbeamendedormodifiedexceptinwritingsignedbybothparties.TheinvalidityinwholeorinpartofanyprovisionofthisAgreementshallnotvoidoraffectthevalidityofanyotherprovision.
