And the City of Ellensburg for Provlafon of Admin.istrative and Project Services This Intcrtocal Agreement for Provision of Administrative and Project Services (the "Agrcement'9) is entered into by and between tho Ellensburg Business Development Authority, a public development authority chartered under Washington Jaw (the "EBDA''} and the City of Ellensburg a municipal corporation (the "City' ), sometimes collectively referred to herein as the '"Parties-ff or individually as a "Party". WHEREAS, the EBDA is a public development authority created by the City of Ellensburg under Title 35 .21 RCW and Ellensburg Ordinance No. 3895, as amended, and operates under its adopted Charter and Bylaws; and WHEREAS, the BBDA's primary purpose is dedicated to promoting economic development projects \\itbin the territorial limits of the City and outside the te1Tilorial limits of the City lo the ex.tent authoriud by RCW 35.21.740; and WHEREAS, the City is the: o~'tler of the "Ellensburg Business lncubatorBuildint' loc .ated at I 000 Prospect, Ellensburg, heretofore referred to as Business fncubator which is leased and operated by the EBDA for the purpose of supporting new; recently fonned or expanding businesses in Ellensburg to help promote econom,ic development opportunities within the City; and WHEREAS, having the City provide administrative and project services to the EBDA is the most economical and logistically efficient means of procuring these services; and WHEREAS, the Cjty Is pennined by RCW 35.21.730(l) to provide such services with or without compensation being received from the EBDA; and WHEREAS, the EBDA wishes to engage the City for administrative and project services on the terms and condilions set forth below; NOW TI-IER£FORE, in consideration of the above recitals and the mutual promises and benefits contained herein. the Parties hereby agree as follows: SECTION l: SCOPE 1. I. Partiea. This Agreement is made by and between the Ellensbwg Business Development Authority, a public development authority, herein refen-cd to as the 11EBDA," and the City of Ellensburg, a Washlngton municipal corporation, herein referred to as the "City". 1.2. Purpose.
