Agreement #K3924 for Washington State Community Prevention and Wellness Initiative <br />(CPWI) Prevention Services Project <br />Recitals <br />NOW THEREFORE, HCA awards to Kittitas County this Agreement, the terms and conditions of <br />which will govern Contractor's providing to HCA the coordination and implementation of <br />prevention programs and strategies designed to prevent or delay the misuse and abuse of <br />alcohol, marijuana, tobacco, opioids, and other drugs, increase mental health promotion and <br />prevent suicide in support of the CPWI Prevention Services Project. <br />IN CONSIDERATION of the mutual promises as set forth in this Agreement, the parties agree <br />as follows: <br />The Contractor will furnish the necessary personnel, equipment, material, <br />and/or service(s) and otherwise do all things necessary for or incidental to the <br />performance of work set forth in Schedule A, Statement of Work, attached and <br />incorporated herein. <br />901111 QIN, � <br />"Authorized Representative" means a person to whom signature authority has been <br />delegated in writing acting within the limits of his/her authority. <br />"Awards" means the total funding of all individual awards HCA allocates to the Contractor, <br />and the total of all awards in this Agreement's Maximum Amount, which is itemized in <br />Exhibit D. <br />"Awards and Revenues" or "A&R" details the Contractors Awards and Revenues <br />attached as Exhibit D. <br />"Budget, Accounting, and Reporting System" or "BARS" means the "Fiscal/Program <br />Requirements". See below, which replaces BARS document. <br />"Breach" means the unauthorized acquisition, access, use, or disclosure of Confidential <br />Information that compromises the security, confidentiality, or integrity of the Confidential <br />Information. <br />"Business Associate" means a Business Associate as defined in 45 Code of Federal <br />Regulations (CFR) 160.103, who performs or assists in the performance of an activity for or <br />on behalf of HCA, a Covered Entity, that involves the use or disclosure of protected health <br />information (PHI). Any reference to Business Associate in this DSA includes Business <br />Associate's employees, agents, officers, Subcontractors, third party contractors, volunteers, <br />Washington State Page 5 HCA Contract No. K3924 <br />Health Care Authority <br />
