4.15.2 To comply with the act and be eligible to enter into this Agreement, Contractor <br />must have a Data Universal Numbering System (DUNS®) number. A DUNS® <br />number provides a method to verify data about your organization. If Contractor <br />does not already have one, a DUNS® number is available free of charge by <br />contacting Dun and Bradstreet at www.dnb.com. <br />4.15.3 Information about Contractor and this Agreement will be made available on_ <br />www.uscontractorregistration.com by HCA as required by P.L. 109-282. HCA's <br />Attachment 3: Federal Funding Accountability and Transparency Act Data <br />Collection Form, is considered part of this Agreement and must be completed <br />and returned along with the Agreement. <br />4.16 FORCE MAJEURE <br />A party will not be liable for any failure of or delay in the performance of this Agreement for <br />the period that such failure or delay is due to causes beyond its reasonable control, <br />including but not limited to acts of God, war, strikes or labor disputes, embargoes, <br />government orders or any other force majeure event. <br />4.17 FUNDING WITHDRAWN, REDUCED OR LIMITED <br />If HCA determines in its sole discretion that the funds it relied upon to establish this <br />Agreement have been withdrawn, reduced or limited, or if additional or modified conditions <br />are placed on such funding after the effective date of this Agreement but prior to the normal <br />completion of this Agreement, then HCA, at its sole discretion, may: <br />4.17.1 Terminate this Agreement pursuant to Section 4.41.1, TERMINATION DUE TO <br />CHANGE IN FUNDING; <br />4.17.2 Renegotiate the Agreement under the revised funding conditions; or <br />4.17.3 Suspend Contractor's performance under the Agreement upon five (5) <br />Business Days' advance written notice to Contractor. HCA will use this option <br />only when HCA determines that there is reasonable likelihood that the funding <br />insufficiency may be resolved in a timeframe that would allow Contractor's <br />performance to be resumed prior to the normal completion date of this <br />Agreement. <br />4.17.3.1 During the period of suspension of performance, each party will <br />inform the other of any conditions that may reasonably affect the <br />potential for resumption of performance. <br />4.17.3.2 When HCA determines in its sole discretion that the funding <br />insufficiency is resolved, it will give Contractor written notice to <br />resume performance.
