httos://www.law.cornell.edu/cfr/text/45/part-7 5 <br />3.1.2 Use of professional judgment; <br />3.1.3 Collaboration with HCA staff in Contractors conduct of the services; <br />3.1.4 Conformance with HCA directions regarding the delivery of the services; <br />3.1.5 Timely, accurate and informed communications; <br />3.1.6 Regular completion and updating of project plans, reports, <br />documentation and communications; <br />3.1.7 Ensure all services and activities provided by the Contractor or <br />subcontractor, shall be designed and delivered in a manner <br />sensitive to the needs of all diverse populations; <br />3.1.8 Regular, punctual attendance at all meetings; and <br />3.1.9 Provision of high quality services. <br />3.1.10 Prior to payment of invoices, HCA will review and evaluate the <br />performance of Contractor in accordance with Agreement and these <br />performance expectations and may withhold payment if <br />expectations are not met or Contractor's performance is <br />unsatisfactory. <br />3.2 TERM <br />3.2.1 The initial term of the Agreement will commence on July 1, 2019, and continue <br />through June 30, 2021, unless terminated sooner as provided herein. <br />3.2.2 This Agreement may be extended in whatever time increments HCA deems <br />appropriate. <br />3.2.3 Work performed without an Agreement or amendment signed by the authorized <br />representatives of both parties will be at the sole risk of the Contractor. HCA <br />will not pay any costs incurred before an Agreement or any subsequent <br />amendment(s) is fully executed. <br />3.3 COMPENSATION <br />3.3.1 The Maximum Compensation payable to Contractor for the performance of all <br />things necessary for or incidental to the performance of work as set forth in <br />Schedule A, Statement of Work is $220,000 and additional Exhibits as <br />applicable to Contractor, and includes any allowable expenses.
