BOARD OF COUNTY COMMISSIONERS <br />COUNTY OF KITTITAS <br />STATE OF WASHINGTON <br />RESOLUTION NO. <br />RESOLUTION RATIFYING PURCHASE AND SALE AGREEMENT AND AUTHORIZING <br />CHAIRMAN SIGNATURE ON CLOSING DOCUMENTS AND AUTHORIZING THE <br />DIRECTOR OF PUBLIC WORKS TO EXECUTE THE GRANT AGREEMENT <br />WHEREAS: On October 7, 2019 the Kittitas County Board of Commissioners entered into a Purchase <br />and Sale Agreement with the Trust for Public Land for the purchase of approximately <br />160.3 acres of land and two associated senior water rights; and <br />WHEREAS: The Purchase and Sale Agreement states that the County has no obligation to purchase <br />the property until a number of contingencies have been met, including the adoption by <br />the Kittitas County Board of Commissioners of a resolution authorizing the purchase, and <br />WHEREAS: An additional contingency identified in the Purchase and Sale Agreement is that the <br />County has received funding from the Department of Ecology to fund the Total Purchase <br />Price of the subject price; and <br />WHEREAS: The Department of Ecology Floodplains by Design program necessitates a grant <br />agreement to award funding for the purchase of the subject property; and <br />WHEREAS: A public hearing was held, after due notice, on October 15, 2019 at 2:00 pm to discuss <br />the authorization of such purchase, and whether the purchase was in the interest of the <br />County. <br />THEREFORE BE IT RESOLVED, Kittitas County shall purchase property from the seller, as <br />contemplated in the Purchase and Sale Agreement that is hereby ratified; and <br />BE IT FURTHER RESOLVED, once all contingencies in the Purchase and Sale Agreement have been <br />met, the Chair of the Kittitas Board of County Commissioners is authorized to execute <br />any further documents, on behalf of Kittitas County, necessary to close the transaction; <br />and <br />BE IT FURTHER RESOLVED, the Kittitas County Board of County Commissioners authorizes the <br />Director of Public Works to execute the Floodplains by Design Grant Agreement. <br />DATED this 15th day of October, 2019, at Ellensburg, Washington. <br />Attest: <br />❑ Clerk of the Board- Julie Kjorsvik <br />❑ Deputy Clerk of the Board- Mandy Buchholz <br />BOARD OF COUNTY COMMISSIONERS <br />KITTITAS COUNTY, WASHINGTON <br />Cory Wright, Chairman <br />Brett Wachsmith, Vice -Chairman <br />Laura Osiadacz, Commissioner <br />
