Filed for Record 04/16/2009 04:48:53 PM - Kittitas County, WA Auditor - 200904160090 Page 20 of 118 <br />"Trendwest Property" shall mean the property located within the boundary of the Resort <br />and more particularly described in the legal description attached as EXHIBIT A (Rev. 1), as set <br />forth in Recital B of this Agreement. <br />"Trendwest Resorts" shall mean Trendwest Resorts, Inc.. an Oregon corporation <br />registered to conduct business in the state of Washington. as set forth in the Preamble of this <br />Agreement. <br />"Utilities" shall include, but not be limited to, all (i) stormwater and drainage systems and <br />facilities, (ii) sewer systems and facilities. (iii) water systems and facilities (including, but not <br />limited to, pumping and treatment stations, storage reservoirs or tanks, and transmission lines), <br />(iv) electrical substations and transmission lines, (v) telecommunications systems and facilities <br />(including, but not limited to, telephone exchanges and lines, cable, and fiber optic), and (vi) <br />natural gas. <br />"Vesting Date" shall have the meaning set forth in Section 4. ] (a) of this Agreement. <br />"Visitor -Oriented Amenities" means the following uses designed to support the users of <br />MountainStar_ (i) restaurants, cafes, delicatessens, pubs, taverns and cocktail bars, and <br />entertainment associated with such uses. (ii) meeting facilities for meetings of all types, <br />conferences, and religious worship and church uses, (iii) on-site retail and commercial services <br />limited to those types and levels of use designed to support the recreation and convenience needs <br />of the users and employees of MountainStar and which do not duplicate the full range of retail <br />and commercial services available in adjacent communities, and (iv) recreation businesses and <br />facilities. The retail sale of gasoline and diesel fuels shall be prohibited at MountainStar and <br />therefore does not constitute a Visitor -Oriented Amenity or a permissible on-site retail or <br />commercial service for any purpose under this Agreement. <br />5uncadia Master Planned Resort Development Agreement (Arnendcd and Restated 12-02-200$) Page 19 <br />
