14. Compliance with Laws. Each party hereto, in its performance of this Agreement, agrees to comply with all applicable local, State, and Federal laws and ordinances. 15. Relationship of the Parties. No agent, employee or representative of KCPHD shall be deemed to be an agent, employee or representative of Medic One for any purpose, and the employees of Medic One are not entitled to any of the benefits that KCPHD provides to County employees. No agent, employee or representative of Medic One shall be deemed to be an agent, employee or representative of KCPHD for any purpose, and the employees of KCPHD are not entitled to any of the benefits Medic One provides to Medic One employees. 16. Disputes. In the event that a dispute arises under this Agreement, it shall be determined by a majority vote of a three-member Dispute Resolution Board comprised of one representative chosen by each of the parties hereto and a third chosen by the two selected parties. If said determination is not acceptable to the parties, the parties are entitled to utilize whatever remedies to which they may be entitled at law or in equity. 17. Jurisdiction. Any legal dispute between the parties to this Agreement shall be governed by the laws of the State of Washington, and any action to enforce this Agreement shall be brought in Kittitas County, Washington. 18. Modi fic:ation. The provisions of this Agreement may be modified or amended only by written mutual written agreement of the parties, executed by personnel authorized to bind each of the parties. 19. Waiver, A failure by either party to exercise its rights under this Agreement shall not preclude that party from subsequent exercise of such rights and shall not constitute a waiver of any other rights under this Agreement unless stated to be such in a writing signed by an authorized representative of the party and attached to the original Agreement. 20. Agreement Not f� car Benefit of Third Parties. This Agreement is entered into solely for the benefit of the parties hereto and vests no rights in, or is it enforceable by, any third parties. 21. Severabi 1 i ty. If any provision of this Agreement or any provision of any document incorporated by reference shall be held invalid, such invalidity shall not affect the other provisions of this Agreement which can be given effect without the invalid provision, if such remainder conforms to the requirements of applicable law and the fundamental purpose of this agreement, and to this end the provisions of this Agreement are declared to be severable. 22. Filing. This Agreement shall be filed or posted online as required by RCW 39.34.040. 23. Effective Date. This agreement shall take effect when signed by both parties. Interlocal Agreement Page 4 of 5
