DNR will continue lo be abh: to use temporary utilities on this property during their usoge or the aforementioned property. A portion of the above named property is also used by the Kittitas County Sheriff's office wid other public agencies for driver training. DNR agrees to work with the University and affected public agencies to move helicopters safely away from the area used for driver training when the area is needed. PERIOD OF PERF'ORMANCF. Subject to its other provisions, the period of performance oflhis Agreement shall commence on May I, 2019 and be completed on November JO, 2019, unless tenninated sooner as provided herein. This Agreement may be extended at the written B!,'l'ecrm:nt of both parties. PAYMENT There will be no monetary exchange between the panics under this Agreement. RECORDS MAINTENANGE The parties to this Agreement shall each maintain books, records, documents and other evidence which sufficiently uml properly reflect all direct and indirect costs expended by either pany in the performance of the services described herein. These records shall be subject to inspection, review or audit by personnel of both parties, other per.ionnel duly a11thori1.ed by either porty, the Office of the State Auditor, and federal officials so authorized by law. All books, records, documents, and other material relevant to this Agrccmenl will be relained for six years after expiration and the Office of the State Auditor, federal auditors, and any persous duly authorized by the pru ties shall have run access and Lbi: l'igbl lo examine any of these materials during this period. Records and other documents, in any medium, furnished by one party to this agreement to the other party, will remain the property or lhc furnishing party, unless otherwise agreed. The receiving party will not disclose or make available this material to any third parties without first giving notice to the furnishing party and giving it a reasonable opportunity to respond. Each party will utilize reasonable security procedures and protections to assure that records and documents provided by the other party ere not en"Oneously disclosed to thin! parties. RIGHTS IN DA.TA Unless 0Uu:1wise provided, dalll, which originates from this Agreement shall ht! "wurks for hire" as ucfutt:t.l by Ute U.S. Copyright Act of 1976 and shall be owned by the University. Data shall include, but not be limited to, reports, documents, pamphlets, advertisements, books magazines, !IW'Veys, studies, computer programs, films, tapes, and/or sound reproductions. Ownership includes the right lo copyright, patent, register, nnd the ability to transfer these rights. INDEPENDENT CAPACITY The employees or ngenll! of each party who are engaged in the performance of this Agreement shall continue to be employees or agents of that party and shall not be considered for any purpose to be employees or agenL,; of the other party. AGREEMENT CHANGES, MODIFICATIONS AND AMENDMENTS This Agreement mny be changed, modified, or umended by written agreement executed by both parties. TERMINATION Either party may tcnninatc this Agreement upon 90 days' prior written notification lo the other party. 2
