PROFESSIONAL SERVICES AGRE EMENT <br />This Agreement is made by a nd be tween Kitt itas County (herei nafter "the Coun ty") <br />and Famil y Hea lth care of Ellensb urg (herei nafter "Co ntra ctor"). Th e Co unty and Contrac tb r <br />agree a s fo llows : <br />General Conditions; Exhibit A (Scope of Work); Exhibit B (Compensation); <br />Exhibit C (Proof of Insurance). <br />copies of which are attached hereto and incorporated herein by this reference as fully as if <br />set forth herein . <br />The term of this Agreement shall commence on January 1, 2018 and continue until <br />December 31, 2018. Any party may terminate this Agreement by giving ninety (90) days ' <br />notice in writing either personally delivered or mailed postage-prepaid by certified mail, <br />return receipt requested, to the party's last known address for the purposes of giving notice <br />under this paragraph. <br />Contractor acknowledges and by signing this Agreement agrees that the <br />Indem nification provisio ns set forth in Para·graphs 7 (In de pendent Co nt ra ctor), 9 (Taxes), <br />15 (Defense and In dem nity Agre ement), 2 1 (Patent/C opyright Infri ngement) and 24 <br />(Co nfidentiality ), are tota lly and fu lly pa rt of this Agreement and have been mutually <br />negotiated by the parties. <br />Professional Services Agreement <br />Page 1
